Job description
The Contract Specialist will act as a primary contact for all commercial contracts and will be responsible for the negotiation, drafting, and review of inbound and outbound contracts in all stages of the contracting lifecycle. Reporting directly to the Vice President of Finance, the Contract Specialist will provide detailed contract analysis, identify, and help minimize legal risk to Navigate, and contribute to the scaling up of our contracts management process.
Essential Functions - Prepare, review and/or revise commercial contracts including, but not limited to, Master Service Agreements, Business Associate Agreements, Non-Disclosure Agreements, and Vendor contracts
- Acts as primary point of contact with internal and external parties for negotiation, revise, execute and track contracts
- Maintains and tracks contract deadlines and status with follow up, as needed
- Record and track all executed contracts and report on planned, in-process, and executed contracts
- Manages the contracting process to ensure all contract proposals and fully executed agreements are legal, secure, recorded and maintained
- Drafts and modifies contract templates/provisions as necessary to address business needs
- Ensures contracts and the organization are in compliance with regulatory requirements
- Negotiates contract provisions with an ability to convey business needs into contract terms, and serves as the SME for internal or external contract discussions
- Reviews and timely responds to RFPs and Amendment requests
- Other duties as assigned by management
Education Required - BA/BS degree required; MS/JD preferred
Knowledge & Experience - 3+ years of contracts management experience or corporate paralegal experience specifically in commercial contracting or procurement administration
- Certification in Contract Management, a plus
- Technologically savvy including proficient at Word, Outlook, Excel and PowerPoint
- Experience in healthcare compliance (Medicare, CMS, HIPAA), a plus
