We are looking for a Sr. Paralegal who will bring clarity, management, organization and, above all else, personality to our legal team. You must have strong interpersonal communication skills and a customer service orientation that you can enthusiastically apply to a wide range of diverse responsibilities. About the Job:
Support the corporate legal team with:
- Management and coordination of corporate governance, corporate reporting, financial transactions and subsidiary management matters
- Manage corporate subsidiaries and coordinate with international colleagues on subsidiary matters that include statutory filings, business registrations, qualifications, dissolutions, election of directors and officers, etc.
- Required SEC and NYSE filings, including annual and quarterly Form 10-K and 10-Q filings
- M&A transactions or capital markets transactions, including the review and preparation of due diligence and backup materials
- Coordinate and review Form 4s and other SEC-related filings for executives and Board members
- Maintain the corporate blackout trading calendar and insider lists
- Research corporate governance requirements and best practices
- Coordinate share transfer requests; share conversion requests; share restriction removals; interact with our transfer agent and generally with shareholders (particularly family shareholders), or their representatives
- Coordinate and maintain records regarding Board members compensation and equity awards, including deferred compensation
- Maintain corporate records including minute books and corporate seals; maintain corporate records database; create and retain electronic and hard copy files for permanent storage; review records on a periodic basis to ensure they are up to date and meet regulatory requirements
Support the compliance team with:
- Updating key policies, procedures and training
- Coordinating compliance training and related communications
- Investigations and expense-related audits/reviews
- Gathering investigations data and compiling key metrics for Audit Committee and Board presentations
- Monitoring shared compliance email inbox and assisting with answering common compliance inquiries
- Initial triage of Report line complaints in NAVEX, as well as follow up on open investigations
- Third party due diligence reviews, using a variety of in-house and external tools and databases
- Review, translation and/or dissemination of internal policies and materials, including with other teams and functions
- Tracking and maintaining Conflicts of Interest disclosures
About You:
- Bachelor's Degree
- Minimum 5 years of experience with corporate subsidiary and public company corporate governance practices
- Dynamic analytical, problem solving and project management abilities with proven systems knowledge and expertise
- Strong skills with MS Office applications including Word, Excel and Outlook and the ability to learn new computer programs quickly
- Extremely strong customer service orientation and the ability to multi-task
- Strong interpersonal and organizational skills, especially when it comes to working directly with senior level executives, directors and shareholders
- Excellent discretion, judgment, tact and diplomacy
- Previous project management experience is a plus

The expected starting salary range for this role is $90,000 - $125,000. We may ultimately pay more or less than the posted range based on the location of the role. The amount a particular employee will earn within the salary range will be based on several factors including, but limited to, relevant education, qualifications, experience, skills, performance and business needs.
