Commercial Contracts Manager
US-Based (Remote)
Accountable for leading and driving the contract management process at Mars Pet Nutrition North America Commercial suppliers – inclusive of raw materials, packaging, co-manufacturing, and co-packing partners - in order to increase and maintain amount of spend under contract in the Contract Management system at all times.

Minimum Qualifications
Bachelor’s Degree
Certified Paralegal with a least 5+ years of contracts management or contracts administration experience.
Ability to travel up to 5% of the time to BRN.
Preferred Qualifications
MBA or JD
Experience working in Project Management and Supply Chain
Good interpersonal, team building and conflict management skills
Experience in the Consumer Products industry
W hat will be your key responsibilities?
Principal Accountabilities
Project Manager and single point of contact for Commercial Sourcing, Co-Manufacturing and Co-Packing contract tracking, status and compliance. Owner of the enterprise Commercial Contract Lifecycle Management (CLM) system from a segment Commercial perspective. Partner with the Sourcing Managers in contract language negotiations with Suppliers, Co-Manufacturers, and Co-Packers. Coordinating cross-functionally with Sourcing, Service & Finance, Legal, Governance and MGS to bring awareness of the Sourcing Contract plan and ensure that Decision Rights/Limits of Authority (LOA) procedures are being followed throughout the Contract negotiation and management process.
Examples of Responsibilities & Project Management:
Responsible for setting up the signature process within the CLM system to follow the pertinent Decision Rights/Limits of Authority (LOA) guidelines and then triggering the signature process for each contract.
Support the Sourcing Managers and Legal in drafting, reviewing, negotiating and finalizing Commercial contracts.
Maintain approved contract templates and work with Sourcing Managers to understand the context and needs of different supplier relationships and accordingly refer them to the correct standard contract template to use.
Help Sourcing Managers work through redline changes and negotiations with suppliers.
Project Management: Help Sourcing navigate the correct approval/governance process (i.e. order of review & approval among relevant stakeholders = Sourcing Director, S&F/Governance & Legal).
Upload and manage repository of completed contracts and contracts under spend in CLM (incl. tracking & reporting).
Work with Commercial to ensure adherence to LOA guidelines by understanding sourcing categories and spend. Develop relevant reports/trackers to update status on a regular basis.
Prepare monthly reports to Leadership on what % of spend is under contract in order to bring visibility to contract expiration dates and escalate risks to contract adherence.
Maintain databases (SmartSheets) and information systems for all contracts (Contract Lifecycle Management system)
Enhance skill level for Sourcing Managers in contract language negotiations and discussions through coaching (informal) and formal trainings.
Identify inefficiencies, create better ways of working, align with leadership and then implement efficiencies to reduce the total time of contract lifecycle.
Understand when a Non-Disclosure Agreement is needed and when to apply the correct critical clauses for Risk, Insurance, Confidentiality, IP, Privacy and Liability, and involve the relevant functions as needed.
Bring visibility to and support the traceability of signed agreements and required approvals.
Ensure that the Contract Lifecycle Management system remains the single source of truth repository for templates and executed/signed agreements.
Support efforts in relation to legal and regulatory compliance and the Five Principles.
Collaborate and partner with the regional and local cross-segment legal counterparts to ensure a consistent and aligned “One Mars” approach on key matters and issues.
