Job description
Ascension Global Staffing & Executive Search is seeking a 3rd-4th year attorney for a position with its client's Corporate, Securities, and M&A practice group in The Woodlands and Houston with an emphasis on public securities experience. The ideal candidate will have experience preparing and reviewing Securities Act and Exchange Act filings and periodic reports, including Forms S-1, S-3, S-8, 10-K, 10-Q and 8-K.
Strong research and communication skills are required, particularly with respect to complex securities matters. This practice represents public companies in connection with registered and unregistered securities offerings, periodic reporting requirements with the SEC, business combinations, Section 16 and Section 13 reporting and compliance, Nasdaq and NYSE listing compliance, insider trading policies, corporate governance and other public company matters.
This practice also represents private companies in a wide variety of corporate, securities and M&A matters, including buy and sell side M&A, unregistered securities offerings, startup and general corporate matters. The ideal candidate will have experience in the following areas: AmLaw 200 experience: Familiarity with the pace and expectations of sophisticated law firm work. Strong academics: Candidates should be able to provide a transcript from a top tier law school.
