Job description
Directors govern the Association towards a sustainable future by adopting sound, ethical and legal governance and financial management policies, as well as by making sure the association has adequate resources to advance its mission.
Responsibilities
- Participate in (virtual) board meetings (typically monthly) and review materials sent in advance.
- Serve as a member or chair of at least one board committee.
- Lead or participate in task force(s) charged with specific initiatives related to strategic planning or other initiatives.
- Offer new ideas related to the strategic plan and betterment of the association — and work with the executive director to execute those ideas.
- Approve, own, champion, and monitor the association’s strategic vision, direction and plan.
- Actively participate in opportunities to provide a welcoming community for new (and veteran) members of the association via community discussions, the association Slack channels or events. (Note: Attending events such as the Annual Conference is not required but encouraged.)
- Facilitate an environment that encourages knowledge of, respect for, and development of skills to engage with those of other cultures or backgrounds.
- Participate in an annual board retreat (virtually or in person).
- Engage in training and development opportunities as assigned (e.g., training in diversity, ethics or financials).
Duty of care
- Take care of the association by ensuring prudent use of all assets, including financial, people and good will.
- Attend meetings regularly, stay adequately informed about the association and exercise independent judgment when voting.
- Provide guidance to the association by contributing to its culture, strategic focus, effectiveness and financial sustainability.
- Serve as ambassadors and advocates for the association’s mission, helping to establish or strengthen relationships with various constituencies with which they may have special connections and occasionally representing the association by making presentations or conducting other forms of outreach.
Duty of loyalty
- Ensure that the association’s activities and transactions are, first and foremost, advancing its mission.
- Recognize and disclose conflicts of interest and follow the Conflict of Interest Policy.
- Make decisions that are in the best interest of the association, not in the best interest of the individual board member (or any other individual or entity).
Duty of obedience
- Ensure that the association obeys applicable laws and regulations, follows its own bylaws, and adheres to its stated corporate purposes/mission.
Qualifications
Required
- Be an active, current professional-level member of the Higher Education Web Professionals Association, or be willing and eligible to become an active member before the time of their appointment. Free general membership for higher education professionals, or employment at an institutional-member school would meet this requirement.
- Be currently employed at a higher education institution (including institutions outside the U.S.).
- Has active experience with HighEdWeb or similar organizations.
- Ability to complete work on-time with little oversight.
Preferred
- Previous experience serving on a board of directors or advisory council.
- Previous experience as a member or leader of a nonprofit association.
- Experience with long-term strategic planning.
Estimated time commitment
Directors commit at least eight hours per month to the work of this board and the association beyond regular 1.5-hour board meetings. The time commitment peaks to 40 hours during the month of the retreat.
Length of appointment
Each director shall be elected to office by term, which consists of a period of three years. Each director may serve up to two consecutive elected terms in their office. After an absence of at least one year, a director may be reelected to hold that office as per the stated terms.
