Position summary:
We are seeking an experienced Ethics & Compliance attorney to join Tennant’s Legal team reporting to our SVP, General Counsel and Corporate Secretary. This role will direct and oversee the company’s global Corporate Ethics and compliance program, as well as data privacy compliance. This role will also provide counsel and guidance on compliance requirements, programs, and reporting stemming from ESG and 3rd-party diligence regulations. In addition to providing legal guidance to internal stakeholders in these areas, the Global Compliance Counsel will steer program activities designed to strengthen adherence to key policies and requirements and will lead investigations.
Major Responsibilities:
- Define the framework and provide guidance on the applicable regulations and necessary actions governing a global compliance and ethics program, building off existing Company program elements
- Manage Ethics & Compliance content and presentation elements in support for ongoing Board of Director reviews
- Monitor legal and regulatory developments in responsible areas, assessing potential impact for global stakeholders, supporting and advising on implementation strategies
- Prioritize and mitigate compliance and ethics risks via collaboration with internal and external stakeholders
- Drive development and/or the updating of key corporate compliance policies, as well as a framework for Company policy management
- Develop, implement, manage, and continuously improve internal controls designed to promote compliance with law and company policy
- Oversee and drive the development of live and online compliance training and communications; provides training as needed
- Serve as point of contact and key advisor for leaders globally regarding ethics and compliance matters
- Oversee and drive third-party due diligence for the global sales channels
- Respond to all issues raised through the hotline either directly or through the Legal compliance team
- Lead internal investigations of potential violations of law or company policy
- Partner with internal business clients in preparing/drafting reports related to various compliance filing requirements
- Manage other Legal and Compliance professionals (currently 1 direct report)
- Travel domestically and internationally minimum 15%
- Other duties as assigned
Education, Experience and Qualifications
- Juris Doctor degree required
- 10+ years’ experience supporting an in-house compliance function, preferably as part of the Legal Department
- Corporate experience is required. Public company experience preferred. Government/regulatory experience a plus
- Industry recognized certification from organizations such as SCCE (CCEP designation) or IAPP (CIPP designation) preferred
- Experience handling regulatory and/or litigated compliance matters, with a preference for someone who has also overseen such matters internationally
- Experience handling data privacy matters domestically and internationally
- Experience selecting, supervising, and managing outside counsel is strongly preferred
- Experience managing other compliance professionals is required
- Hands-on substantive experience in developing and maintaining a robust compliance program, including conducting and directing investigations of potential violations of law and policy; strong substantive knowledge of fraud investigations and corporate internal investigations
- Strong interpersonal, writing and communications skills; ability to work cross functionally and with diverse teams; ability to clearly and succinctly articulate and present complex legal advice to both executive and working level audiences, both orally and in writing; experience in providing training in a group setting
- Able to proactively identify and solve complex problems and think beyond existing solutions and frameworks
