Job Summary

We are looking for a talented and experienced corporate paralegal who can immediately contribute to key company transactions and corporate governance initiatives. This position works with in-house counsel, business partners and outside counsel on corporate governance, transactional, regulatory, and other matters, including preparing resolutions, minutes, memoranda, agreements, and other legal documentation. The position will also assist with legal and factual research, due diligence and data compilation and collaborate with key stakeholders on legal matters, projects, and critical Company initiatives. The corporate paralegal will work with all of these entities and business partners throughout the organization in an exciting and dynamic environment.
Key Responsibilities - Assist Corporate Secretary, attorneys, and other employees with corporate documentation, including minuting, resolutions, consents, and certifications.
- Update and maintain, and support compliance with, governance policies.
- Coordinate with the tax department, financial management group, internal audit team, insurance and securities regulators and external auditors on governance matters.
- Obtain and maintain corporate licenses and certificates of authority.
- Prepare and maintain corporate records, including regulatory filings and secretary certificates, and respond to internal and third-party requests regarding the same.
- Assist with due diligence, closing checklists, filings, and other transaction-related activities (including securities transactions and related filings).
- Perform legal research, prepare memoranda summarizing findings and provide general paralegal support for the Law & Compliance team.
- Assist with other Law & Compliance matters as needed.
Skills & Requirements - Must be able to interact effectively with all levels of the organization, including senior leadership as well as external clients and vendors.
- Demonstrated project management and collaboration capabilities, including driving successful outcomes and meeting deadlines on multi-disciplinary teams.
- Strong organizational, analytical, and problem-solving skills.
- Excellent communication skills (presentation, verbal and written).
- Proven ability to work successfully in a fast-paced legal department – i.e., highly organized self- starter with ability to juggle multiple projects and deadlines with little supervision.
- Must be able to successfully pass a background check and fingerprinting (where applicable).
Education & Experience - Associate’s or Bachelor’s degree in paralegal studies or equivalent legal accreditation, experience or training.
- 3+ years corporate paralegal experience in-house or in a law firm setting, 5+ preferred.
- Proficient user of Microsoft Office (Excel, Word, Outlook and PowerPoint).
- Currently licensed notary or willing to obtain license.
- Experience with securities-related transactions and investment matters a plus.

The base compensation range represents the low and high end of the range for this position. Actual compensation will vary and may be above or below the range based on various factors including but not limited to qualifications, skills, competencies, location, and experience. The range listed is just one component of our total compensation package for employees.
Other rewards may include an annual bonus, quarterly bonuses, commissions, and other long-term incentive compensation, depending on the position.
