The UHS Corporate Legal Department is hiring a Paralegal - Mergers & Acquisitions to support UHS attorneys with general regulatory/licensure matters, as well as domestic and cross-border mergers and acquisitions and other complex corporate transactions, including strategic investments, joint ventures, etc.
Key Responsibilities include:
Assists attorneys throughout M&A transactions, including maintaining transaction/regulatory checklists, preparing/drafting closing documents and closing binders, drafting NDAs/other agreements, scheduling, and assisting with closings (including managing signature collection process and tracking other closing deliverables)
Prepares and draft documents to form new entities (e.g., Corporations, LLCs, LLPs, Professional Practice Entities (e.g., PLCs/PLLCs/PAs, etc.)) in any state. Files all materials with the applicable state department(s), including Articles/Certificates of Incorporation, fictitious name filings, and foreign qualification documents
Drafts corporate governance documents such as board resolutions/consents, formation documents, bylaws, operating agreements, amendments, annual reports, etc.
Drafts financing statements, amendments, termination and other documents under the Uniform Commercial Code; Perform state and federal UCC, lien, and litigation searches and summarizes/analyzes the results of these searches
Performs transactional & regulatory due diligence and prepares/reviews disclosure schedules in connection with the same. Drafts/reviews confidentiality (NDA) agreements, deal documents, and other corporate/regulatory documents
Conducts research to determine legal and regulatory licensing requirements for all types of healthcare providers and applicable licenses, including communicating with state and federal regulators to confirm specific licensing requirements. Prepares regulatory/licensure applications and Medicare/Medicaid CHOW/CHOC applications
Performs state and federal UCC, lien, and litigation searches and summarizes/analyzes the results of these searches
Coordinates new provider enrollment and changes of control/ownership for Medicare and Medicaid
Associate degree preferred with 3-5 years' experience providing corporate support for Regulatory/M&A transactions is required.
Knowledge of healthcare industry is preferred but not required
Paralegal Certification is preferred but not required
