Job Title: Senior Attorney/Counsel
Job Location: Los Angeles or New York (hiring at both locations)
Salary: $250k-$350k
Requirements: 6+ years in Corporate, Mergers & Acquisitions, and/or Transactional Real Estate. Portable book of business required.

What You Will Be Doing

- Lead and manage all legal aspects of Mergers, Acquisitions, Corporate Finance & Securities, Joint Ventures, Private Equity, Funds & Venture Capital Transactions, Private Investment Fund Formation, Emerging Company Guidance, and Entity Formation.
- Conduct due diligence, identify legal risks, and provide strategic advice to clients.
- Draft, review, and negotiate transactional documents, inculding merger agreements, asset purchase agreements, and shareholder agreements.
- Advise clients on Corporate Governance matters, and ensure compliance with applicable laws and regulations.
- Work closely with clients, board of directors, senior management, and other stakeholders on corporate governance issues.
- Draft and review corporate policies, bylaws, and charters.
- Monitor and ensure strict compliance with federal and state securities laws.
- Assist clients in preparation of shareholder communications and proxy statements.

What You Need for this Position

- 7+ years experience in Corporate, M&A & Securities
- Portable book of business required
*Must hold current and valid California State Bar license*
