JOB DESCRIPTION
Position Summary
Marriotts Law Department services the Companys lodging and hospitality business and provides legal advice and counsel to Marriotts internal clients. This attorney position is part of the Corporate Legal Affairs practice group.
This position will provide legal support across the range of matters covered by the Corporate Legal Affairs group, including: (i) corporate and project finance, capital markets, and treasury; (ii) mergers & acquisitions, divestitures, joint ventures, and other significant corporate-level transactions; (iii) SEC reporting and securities law regulation, compliance, and disclosure; (iv) investor relations and corporate communications; (v) environmental, social, and governance (ESG); and (vi) corporate governance.
This position reports directly to the Senior Vice President & Associate General Counsel Corporate Legal Affairs.
Expected Contributions
The Corporate Counsels primary responsibilities will be to:
- In collaboration with the Companys finance and accounting teams, help to provide legal support for the Companys SEC reporting efforts and compliance with all other aspects of relevant securities laws and regulations, including drafting, reviewing, and editing Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Periodic Reports on Form 8-K, Proxy Statements, and other filings and disclosure materials.
- Provide legal support for the Companys Investor Relations department on various aspects of the Companys investor relations program, including the Companys quarterly earnings process, shareholder engagement, and security analyst meetings and other special events, including issue spotting, advice, and counseling on Regulation FD.
- Help to lead the Companys insider trading compliance program, including maintenance of a securities trading policy that addresses relevant legal requirements, developments, and trends, and implementation of the Companys quarterly securities trading window closure process.
- Monitor evolving trends in securities laws, regulations, and interpretations, as well as disclosures made by peers and other public companies; develop and propose updates to the Companys disclosure and policy documents accordingly.
- Support the Companys capital return program, facilitating appropriate governance, documentation, and attention to legal issues pertinent to stock repurchases and dividends.
- Work closely with the Companys Global Communications and Public Affairs department by reviewing and editing Company press releases, executive communications, and other corporate communications and public relations materials.
- Partner and support the VP & Senior Counsel, ESG on a broad range of reporting and disclosure matters.
- Help provide legal support to the Companys public debt transactions and other 33 Act transactions, and participate in cross-discipline teams as appropriate.
- Provide various other types of legal support for other corporate finance and treasury transactions, including the Companys credit agreements, commercial paper program, corporate bank account matters, loans and guaranties, and finance special projects.
- Participate in M&A transactions, joint ventures, venture capital investments, and other significant corporate transactions, providing legal guidance and overall transactional support. Help to coordinate cross-discipline and Law Department project teams to support due diligence, document negotiation, and all other aspects of transactions. Prepare and counsel on NDAs and support integration / post-closing work.
Requirements for Position
Successful candidates should possess the experience, knowledge, and skills as follows:
- Excellent academic record with a law degree preferably from a top law school;
- Active Bar membership;
- Minimum of 5 years legal experience in securities law and corporate transactions preferred;
- Proven ability to keep current on securities or other corporate laws, regulations, developments, and trends;
- Proven contract drafting and negotiating skills;
- Ability to expeditiously identify and analyze issues and provide legally sound recommendations consistent with good business practices and reason;
- Ability to work under stressful conditions;
- Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels;
- Ability to foster relationships and individual accountability across the organization;
- Excellent written and oral communication skills;
- Excellent conflict management skills, and ability to influence without coercion;
- Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions;
- Ability to work independently, take ownership of, and effectively resolve problems; and
- Flexibility for travel.
