The Role

As Senior Counsel at Wyndham Hotels & Resorts, you will play a critical role in ensuring the company complies with all laws and regulations relating to its core business of franchising. This position will provide legal advice in the areas of franchised hotel development and brand operations in NAMER, including franchise sales, contract compliance, commercial contracts, and general business counseling.  This role will protect the company’s rights in contract negotiations; and counsel the company’s brand operations teams on the legal risks associated with new initiatives. Finally, this role will help ensure new business initiatives comply with the law and advise management on recent changes in laws and regulations that affect the company. 

The position will support the franchise development and operations teams through regular interactions with other legal and cross-functional teams (finance, marketing, IT, tax, risk management) and outside counsel.

What you'll do

• Negotiates and drafts special provisions in franchise agreements, amendments, transfers and renewals and counsels the franchise sales team.
• Advises contracts compliance team regarding events giving rise to default, termination and other compliance action under franchise agreements.
• Advises contracts compliance and relicensing team on franchise settlements and reviews and drafts termination or reinstatement agreements.  
• Reviews franchisee communications, franchisee training materials and brand standard manuals and counsels teams on mitigating risk. 
• Review and approve all due diligence associated with franchise applicants for compliance with law; review disclosure exemption applications.

• Excellent writing and oral communication skills and attention to detail. 
• Ability to think independently and make sound decisions without long contemplation or research.  
• Strong analytical and drafting skills, with experience drafting transaction documents required.
• Ability to promptly and effectively respond to questions and concerns from senior management, clients, and customers and explain complex transactional issues in plain English.
• Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties.
• Self-starter; ability to multi-task and handle large volumes of work.
• Demonstrated ability to influence individuals outside direct reporting relationships.
  

Required Qualifications/Experience

• Law degree.
• Admission to NJ Bar or ability to obtain NJ in-house counsel license.
• A minimum of 8 to 10 years of relevant experience in a law firm environment or in house at a large company.
• Strong drafting, transactional and counseling foundation.
• Experience in the franchise industry required.
• Experience in the hospitality industry preferred.
