Ashland Inc. has an exciting opportunity for a Senior Corporate Paralegal to join Ashland. This is a very visible and significant role within Ashland and the corporate securities function. This position will report to the Group Counsel, Corporate & Securities Law. This is a fully remote position.

The responsibilities of the position include, but are not limited to, the following:

• Manage the Section 16 reporting process, including preparing and filing Section 16 forms (Forms 3, 4 & 5) and tracking ownership balances.
• Assist in the review and preparation of annual and periodic SEC filings, on Forms 10-K, and 10-Q and current reports on Form 8-K.
• Assist with the preparation of the proxy statement and related materials for the annual stockholders' meeting.
• Prepare and file Written Affirmations and other material notifications (dividend notices) with the New York Stock Exchange.
• Support maintenance of the Company's insider trading policy, including tracking designated insiders and preparing periodic communication to insiders.
• Assist in the Company's processes for Director and Officer Questionnaires, including related person transaction tracking and updating corporate records.
• Assist with general corporate governance matters, including benchmarking best practices, and other special projects or tasks on an as-needed basis.
• Maintain and coordinate team calendars and tasks.
• Review and triage simple agreements.
• Assisting with other projects as necessary.

In order to be qualified for this role, you must possess the following:

• Bachelor’s degree.
• 5+ years of corporate paralegal experience, either in a law firm or in-house.
• Must have experience preparing and filing SEC documents including 10-K, 10-Q, 8-K and Section 16 (Forms 3, 4 and 5).
• Experience using Active Disclosure or similar platforms and NYSE Listing Manager.
• Knowledge of SEC's EDGAR filing system.
• Proficient in MS Office Suite (specifically Word, Excel and PowerPoint) and SharePoint.
• Meticulous attention to detail.
• High ethical standards and proven ability to maintain confidentiality of sensitive information.
• Ability to communicate clearly and concisely, both orally and in writing.
• Ability to effectively multi-task, juggle and prioritize many projects at one time.
• Highly motivated and positive with the ability to work independently.
• The ability to travel on a limited basis to other locations within the US (less than 10%).
