This is a hybrid position and we're looking for this person to come into the Rocky Hill, CT office twice a week.
Corporate Counsel Overview: ebbo is seeking a Corporate Counsel to join our legal team. The Corporate Counsel will report to the General Counsel and will have the opportunity to gain exposure to different areas of law in a growing, dynamic and fast-paced environment. The Corporate Counsel will have commercial legal experience, curiosity and passion for working on a variety of topics, such as, contracts, mergers & acquisitions, corporate governance, compliance, and marketing & advertising.
The Corporate Counsel will be an organized, efficient, proactive, and responsive self-starter. They will have strong people and analytical skills to support our business and various teams.
Duties and Responsibilities of the Corporate Counsel: - Work closely with ebbo’s internal business teams to provide legal advice and support of business initiatives.
- Draft, review and negotiate a broad range of routine and complex contracts from concept through to final signed versions and amendments, including Master Service Agreements, Statements of Work, Vendor Agreements, Marketing Agreements including Publisher and Advertising Placement Agreements, Consulting Agreements and Confidentiality Agreements.
- Draft and review loyalty, rebate and related program rules, terms, disclosures, copy and front-end/acquisition marketing materials for legal compliance. Oversee associated legal work including bonding & registration, CCV filings, translations, and prior state approvals for regulated industries and support customer service in responding to customer complaints.
- Standardize and maintain a library of internal legal contracts and documents, including formatting existing documents and drafting documents from scratch where necessary.
- Participate in the design and development of corporate policies, procedures, and training programs and provide counsel, guidance and training on legal and regulatory compliance matters.
- Support the company’s mergers and acquisitions process by assisting with diligence and document preparation.
- Corporate governance work and maintaining documents and records.
Skills and Experiences of the Corporate Counsel: - Juris Doctorate degree is required.
- Member of the Connecticut State Bar or willing to become Connecticut Authorized In-House Counsel.
- 4+years in a corporate legal department or outside law firm, with experience advising on relevant corporate and commercial matters.
- Significant experience in independently reviewing, drafting and negotiating contracts.
- Mergers & acquisitions
- Knowledge in marketing & advertising, including reviewing and drafting disclosures and consent requirements for subscription and automatic renewal programs.
- Knowledge of privacy laws and data rights.
- Proficient written and verbal communication skills and ability to transform complex information into clear, concise and actionable communications.
- A high level of discretion, integrity, and confidentiality.
- A practical, business-oriented approach and proactive problem solver.
- Ability to navigate complex problems and ensure effective and sound decision making, systematically and under pressure.
- Hard-working, energetic, creative, self-motivated, curious and exhibit a passion for understanding ebbo’s business and contributing to its business objectives.
