Our client located in Franklin, TN is seeking a Sr. Paralegal/Jr. Attorney to join their team. This is an excellent opportunity for someone looking to grow their career and join a dynamic team in  the healthcare industry!

The Sr. Paralegal/Jr. Attorney position is a direct hire opportunity, with a hybrid schedule.

Responsibilities:

• Developing and maintaining a contract management system, streamlining contracting process, creating policies, procedures, and templates
• Tracking contract expiration dates and proactively managing contract renewals and terminations for vendors and clients
• Work with company external council as needed to support the contracting process and development of standard templates, clauses, etc. 
• Supporting legal due diligence, M&A, and regulatory requests
• Drafting, redlining, and negotiating Master Service Agreements, Statements of Work, Order Forms, Purchase Orders, Amendments, Business Associate Agreements, and Security Documents for prospective healthcare providers and payers, vendors, and others
• Developing and maintaining processes to ensure compliance with governmental contracting requirements, SLAs, client and vendor policies, and all federal and state regulations
• Partnering with appropriate team members in responding to RFPs
• Interpreting and advising stakeholders on contract obligations and risk exposure
• Independently handling legal matters or projects while recognizing when the advice of the Chief Financial Officer or outside counsel is appropriate
• Advocating the Company’s interests in assigned matters

Qualifications:

• Bachelor’s degree or higher
• Preference towards those with an ABA approved paralegal education degree or program
• 3 years of legal experience at a law firm or in-house position
• Experience in public sector contracting that includes foundational knowledge of limitation of liability, indemnification, and data clauses 
• Strong technology and commercial contracting experience, preferably in the healthcare technology space
• Must have extensive experience drafting, negotiating, and reviewing a wide variety of commercial contracts and technology agreements
• Previous experience with software as a service company in a B-to-B environment.
• Highly desired experience within a healthcare or healthcare technology company.
• Working knowledge of HIPAA would be a plus.
• Demonstrated superior collaboration and relationship building skills.
• A strong background in contracts and contract management
