About the Job
We currently have an exciting opportunity for Senior Paralegal to join our Legal team. This individual will provide support regarding corporate governance and corporate law matters.
What You’ll Do | Key Accountabilities
- Managing and coordinating Board materials and Board/Committee calendars
- Maintaining Board minutes, officer lists, and corporate organizational documents for the Company and its subsidiaries
- Coordinating with the Finance Department on entity management and annual report filings
- Drafting resolutions, agreements and other documents to support various corporate activities
- Overseeing the relationship with the transfer agent and coordinating on stock transfer requests
- Assisting with the tracking and review of related party transactions and director independence
- Monitoring ethics reporting process
- Assisting in due diligence reviews and managing various corporate law projects, including closings, as needed
- Liaising with partners across business entities
- Maintaining a repository of intercompany agreements
- Recommending, developing and implementing actions to improve process quality for legal operations, including outside counsel invoice tracking and management
- Additional duties as assigned
What You’ll Bring | Skills & Experience
- Bachelor’s degree and at least eight (8) years equivalent work experience, preferably in contract
management, compliance, litigation, and/or legal - Ability to learn quickly and exercise good judgment
- Self-motivated team player with a sharp mind and focus
- Ability to identify issues and to exercise sound analytical and problem solving skills
- Strong organizational and prioritization skills along with keen attention to detail
- Ability to learn promotional/merchandise coding using company applications
- Ability to learn and apply company policy related to contracts
- Excellent time management skills: ability to work effectively and to multi-task in a fast-paced environment
- High level of initiative and ability to work well in a collaborative & dynamic team environment
- Flexibility and adaptability to changing priorities and deadlines
- Strong interpersonal and team skills: ability to develop strong internal client relationships, and to work collaboratively with all departments at the Company, especially the Merchandise, Marketing and Legal Departments

Work Environment, Physical & Mental Demands
- Ability to sit and work at a computer keyboard for extended periods of time
- Ability to stoop, kneel, bend at the waist, and reach daily
- Able to lift and move up to 25 pounds occasionally
- Must utilize visual acuity, speech and hearing, hand and eye coordination and manual dexterity necessary to operate a computer and office equipment
- Hours regularly 40 hours per week, as work dictates, from a remote location.

$78,900 - $131,400. We take into consideration an individual’s skills, background, and experience in determining final salary. Other compensation may include a 10% Annual Incentive Plan (AIP) bonus paid out according to policy. Base pay information is based on market location and may be subject to prevailing wage laws, if applicable.
