Reef Capital Partners (RCP) is a successful commercial real estate investment firm specializing in both private credit and private equity real estate investments. Since being founded in 2005, Reef has completed more than 500 transactions with an aggregate value of over $2 billion.

We are looking to hire an associate attorney who is passionate about real estate to increase the company's capacity within a dynamic team of in-house attorneys and paralegals. Associate attorneys have the potential to grow into senior attorneys and even general counsel roles for larger real estate projects and operating subsidiaries of Reef. Candidates must be detail oriented and well organized. Candidates should have experience with real estate transactions, small company structuring & organization, and/or securities filings.

Job Responsibilities:

Associate attorneys are expected to perform the following functions:

• Quickly become familiar with Reef Capital Partners's business and industry including its major projects and operating subsidiaries.
• Associates assist senior attorneys in handling the overall legal workload emanating from the steady flow of transactions within Reef and its major projects.
• Associates will be given specific responsibilities and projects within their capability, interests, and experience including:
  • Drafting transactional and general corporate documents such as:
    • Purchase and Sale Agreements
    • LLC Operating Agreements
    • Financing Documentation
    • Subscription Agreements
    • Buyout / Contribution Agreements
    • SEC Filings / State Blue Sky Filings
  • Assisting with the procedural side of real estate closings and other transactions (coordinating title, escrow, etc.)
  • Helping to create and manage surveys of all legal tasks related to a specific project or subsidiary
  • Searching and producing documentation and communications responsive to subpoenas or other demands for document production, as necessary
  • Working collaboratively and cooperatively with other staff to accomplish strategic objectives, including project management teams, accountants, other attorneys and onsite managers
• Effectively managing changing priorities and expectations from multiple coworkers
• Being candid about limitations and non-work situations that may affect performance

Qualifications:

• J.D. from an ABA-accredited law school
• Experience working in real estate or investment funds is a significant plus
• Corporate Governance: Experience in business entity set up and management
• Document Drafting: Proficient in legal document drafting; familiarity with real estate transactional documents preferable, as well as corporate drafting experience (corporate resolutions, organizational document amendments, etc.)
• Research: Ability to research different areas of law to figure out various problems encountered while performing duties
• Due Diligence: Support due diligence processes for transactions, including providing organizational documents related to loan closings, working with title companies to provide authority documents, etc.
• Contract Management: Maintain an organized system for contract management
• Legal Administration: Assist in maintaining legal department records, databases, and filing systems. Ensure proper documentation and confidentiality of sensitive information
• Desired Qualities: Attention to detail, highly organized and driven to succeed. Ability to communicate effectively with internal teams and external investors to obtain information, clarify legal matters, and provide updates on legal transactions. Collaborate with attorneys, executives, and other key employees to achieve common goals.
