Job Summary/Purpose
The Vice President, Chief Ethics and Compliance Officer (CECO) serves as the Chief Compliance Officer for Entergy. The CECO is responsible for developing, implementing, and leading Entergy’s Ethics & Compliance (E&C) Program, which includes supervising the E&C department. The mission of Entergy’s E&C department is to lead an E&C Program that is designed to:
Promote and foster an organizational culture of integrity, ethical decision-making, and commitment to Entergy’s values;
Assure that the Company’s directors, officers, and employees conduct business with the highest standards of integrity and in compliance with all applicable laws, regulations, and Company policies; and
Provide employees a safe haven for reporting concerns.
The CECO leads a department that is responsible for establishing standards and implementing procedures to ensure that compliance programs and activities throughout the organization are effective and efficient in identifying, preventing, detecting, and correcting noncompliance with applicable laws, regulations, and company policies. The E&C Department also:
Provides corporate oversight of and facilitates compliance with Federal Energy Regulatory Commission (FERC) requirements and state and local affiliate rules;
Provides oversight of Human Resources compliance, collaborating with the Human Resources and HR Operations organizations to define and maintain policies and procedures that ensure employment and work practices demonstrate a thorough understanding of applicable laws and regulations, while also aligning with Entergy’s larger human resource objectives; and
Through the Internal Investigations team, maintains the Entergy Ethics Line as a channel to report suspected ethics and compliance violations, and leads a Company-wide process for prompt, thorough, and objective investigations of ethics and compliance concerns.
Job Duties/Responsibilities
This position will lead the compliance and ethics function, have hands-on responsibility for the day to day management and operation of the compliance and ethics programs, and will ensure that the programs include the appropriate components. (e.g., appropriate policies and procedures, training, reporting, monitoring, and enforcement).
Partner with the Board of Director, the Office of the Chief Executive and senior leadership, including human resource, legal, IT, internal audit, business leaders and other key stakeholders to identify institutional compliance and ethics priorities, implement and monitor appropriate compliance-related policies and procedures, and monitor the effectiveness of the compliance and ethics programs.
Responsible for overseeing internal investigations; leading Entergy’s cross-functional Investigations Oversight Committee, which reviews all investigations that are undertaken in response to concerns reported to the Entergy Ethics Line; and leading the Investigations and Discipline Governance Committee. Responsible for leading a team that conducts internal investigation of compliance issues and maintains documentation of compliance activities, such as complaints received or investigation outcomes.
Identify federal and state statutory and regulatory requirements, collaborate with business leaders to identify operational implications, recommend and ensure development of procedures to satisfy these requirements, and support operations with the implementation of solution strategies.
Lead the development of implementation of written policies and procedures related to compliance activities and incorporate enhancements as a result of internal and external audits.
Responsible for administering the Code of Entegrity, the Entergy Corporation Code of Business Conduct and Ethics, the Code of Conduct for Non-Employees, and the Suppliers’ Code of Conduct while periodically reviewing and, as necessary, recommending revisions for approval.
The CECO has the responsibility to communicate personally to the Audit Committee of the Board of Directors on any matter involving criminal conduct, potential criminal conduct, or other significant compliance issues. Additional responsibilities related to the Audit Committee include: reporting annually to the Audit Committee of the Board of Directors on the Program’s implementation, continuous improvement, and overall effectiveness; and reporting to the Audit Committee regularly, but no less than quarterly, on the statistics related to the Company’s Ethics Line and on any significant investigations, including any matter involving criminal misconduct, financial reporting concerns, or other potentially serious violations of Entergy’s policies.
Responsible for the hiring, development and retention of a team of E&C professionals.
Serve as a confidential point of contact for employees to communicate with management, seek clarification on issues or dilemmas, or report irregularities.
Minimum Requirements
Minimum education required of the position
Typically requires a college or university degree in related field or the equivalent work experience.
Preferred: Juris Doctorate
Minimum experience required of the position
10+ years’ experience in legal or fields related to the described position.
Preferred: Prior experience in a function with management responsibility for compliance
