Job description
Tyton Holdings is seeking a Corporate Paralegal, with Oil & Gas or HVAC/R construction experience. A Corporate Paralegal is a professional who provides legal support and assistance to a corporate’s in-house legal team. This Paralegal job duties include support to attorneys supporting the Tyton Holding companies. The Paralegal will assist with drafting and reviewing legal documents, managing files, conducting legal research, discoveries, credit checks, and unemployment responses. They will also provide administrative support to the legal team in other areas as well.
Preference will be given to applicants that:
--those with formal education and training to be a paralegal PLUS a minimum of five consecutive years of paralegal experience
--have a reasonable commute to Addison, Texas
--experience supporting company/general counsel type structure
--experience with oil and gas and/or construction

Responsibilities:
- Conducting legal research: specifically, researching legal precedents and laws related to corporate matters, including contracts, securities, and intellectual property.
- Drafting legal documents: helping prepare legal documents such as contracts, agreements, and corporate filings, and may also review and edit drafts prepared by attorneys.
- Maintaining corporate records: maintain and organize corporate records, including minute books, annual reports, and other legal documents.
- Assisting with transactions: specifically, due diligence, transaction closings, and post-closing matters.
- Managing compliance: ensures the corporation complies with legal and regulatory requirements, such as filing annual reports and maintaining corporate licenses.
- Coordinating meetings: assisting with the scheduling and coordination of meetings, including board and shareholder meetings.
- May act as a liaison between the corporate’s legal team and outside counsel.
- Assist attorneys with drafting, reviewing, and revising legal documents, including contracts, agreements, and leases.
- Organize and manage case files, including maintaining electronic and paper documents and ensuring proper document retention.
- Prepare and file legal documents with courts and regulatory agencies.
- Coordinate with outside counsel, clients, and other stakeholders to gather and exchange information.
- Communicate with internal stakeholders to ensure compliance with legal requirements and deadlines.
- Provide administrative support, including scheduling meetings, preparing correspondence, and maintaining calendars.
Requirements:
- A minimum of five years of paralegal experience is required.
- Bachelor’s Degree or significant prior practical experience as a paralegal in lieu thereof.
