Job description
The Senior Paralegal will be flexible, pro-active and detail-oriented, and will provide support to the VIA General Counsel on legal and corporate governance matters related to a registered investment adviser and the mutual funds it manages. The Senior Paralegal will support the VIA General Counsel in establishing and maintaining the fund governance structure, including drafting meeting agendas, producing Board and Committee meeting materials, uploading materials into Diligent Boards, attending Board and Committee meetings, drafting resolutions and meeting minutes, and preparing certificates. In addition, they will assist with the preparation of various disclosure documents, such as mutual fund prospectuses and Statements of Additional Information (and supplements thereto), Part Cs, and proxy materials, and facilitating the filing process with outside counsel to file electronic filings with the U.S. Securities and Exchange Commission through its EDGAR database. Related areas of law include the Investment Advisers Act of 1940 and the Investment Company Act of 1940 and related rules.
The Senior Paralegal must possess a positive "can do" attitude, be highly organized, adept at handling competing deadlines, and be able to multi-task.
The duties of a Paralegal may include assisting the VIA General Counsel with:
- Drafting and filing of various documents for a registered investment adviser and registered mutual funds (including but not limited to N-1A, 485A, 485B, and 497 filings).
- Completing and filing other periodic regulatory filings as needed.
- Drafting investment management and sub-management agreements and related amendments as needed.
- The annual 15c review process, including coordination with service providers.
- Managing and maintaining corporate documents, including drafting resolutions, preparing necessary certificates, officer lists, and organizational structure charts.
- Coordination of board and committee meetings, preparation of certain board meeting agendas and materials, and uploading into Diligent Boards.
- Performing legal research.
- Monitoring law changes of the applicable laws and regulations.
Qualifications
- Bachelor's degree or equivalent.
- Typically, at least three (5) or more years of experience as a paralegal focused on corporate matters or substantially equivalent experience performing paralegal responsibilities, as described above.
- Knowledge of federal securities laws and regulations and related filing requirements.
- Experience with investment advisers, investment funds and/or investment management and experience working and coordinating with boards and committees is a plus.
- Ability to maintain strict confidentiality.
- Ability to multi-task and shift priorities to meet moving and demanding deadlines.
- Strong attention to detail and organizational skills.
- Strong emotional IQ and people skills.
