The Global CHC Legal Team is a group of motivated, energetic and collaborative seasoned lawyers, organized in different sub-teams according to regional and/or subject matter responsibilities and/or expertise, with the common objective to deliver value by identifying opportunities and balancing risks at speed.
The candidate will primarily support, assist and advise the CHC teams in charge of acquisitions and/or divestitures projects, as well as Business Development and Licensing (BD&L) and Alliance Management teams, in order to contribute to and execute on the global strategy of CHC Corporate and Partnering activities. Secondary responsibilities shall include assisting and advising the North America CHC teams on a wide range of commercial transactions.
Major areas of Responsibility Include:
Evaluating, structuring, negotiating, drafting and providing advice on complex legal transactions such (i) as product, business or company divestitures or acquisitions (including of minority equity interests) and (ii) licensing and/or partnership transactions (“ Strategic Transactions ”), both locally and internationally.
Assisting and Advising the Global Alliance Management team, by analyzing and interpreting our strategic licensing and/or partnership agreements to clarify CHC’s rights and obligations and enforce them, through governance committees or through renegotiation.
Interacting closely and regularly with various internal stakeholders such as Divestments, Strategy, Global Alliance Management, BD&L, Finance, Tax, Commercial/Marketing (Growth Hub), R&D/Regulatory (Science Hub), Manufacture and Supply (M&S) teams.
Acting as lead lawyer on the Strategic Transaction projects, ensuring smooth and efficient coordination with other legal functions (trademarks, patents, M&S, country lawyers, business unit lawyers, etc.) and coordinating and overseeing the work of outside counsels (including for antitrust matters).
Reviewing, analyzing, and providing legal feedback and risk assessment on packaging, labeling, and promotional materials for over-the-counter drug products, medical devices, dietary supplements, and cosmetics.
Reviewing and advising on innovation concepts, business development opportunities, new routes to market or channels (e.g., off-line/online/DTC, etc.), based on applicable laws and regulations.
Strategic day-to-day counseling including providing risk mitigation solutions and contract support for Marketing, Regulatory, Medical, Consumer Insights, R&D, Sales, and Industrial Affairs.
Experience :
4+ years of experience in the M&A department of a major law firm and can demonstrate diverse and complex M&A/BD&L transactional experience.
In-house experience and/or pharma/life sciences or consumer goods industry experience a plus.
Education
Juris Doctorate degree from an accredited law school.
US license to practice law must be active and in good standing.
Soft skills & Technical skills
The candidate must have excellent communication (written and oral) and interpersonal skills; the ability to draft and negotiate a wide variety of sophisticated contracts; the ability to work independently and effectively with limited supervision; the ability to exercise independent and sound judgment (to identify red flag issues and escalate them as required); and ability to advise and cogently explain and discuss complex matters with internal clients.
The candidate must have a thorough understanding of legal principles applicable to many areas of practice, including a number of the following: intellectual property, supply, manufacture and distribution agreements, business transactions and corporate laws.
The candidate must demonstrate a team player attitude and will have excellent transversal collaboration skills (with legal colleagues, business stakeholders and cross-functional teams).
The candidate must be solutions-oriented and business-oriented. The candidate shall have the ability to advise internal clients regarding business tactics and strategies while assuring compliance with applicable laws, rules, and regulations.
The candidate must maintain the highest ethical standards and respect confidentiality of company matters. The candidate must demonstrate a high level of professionalism, be reliable, responsive, and accountable to deliver results.
The candidate must be proficient with Word, PowerPoint and other corporate standard software.
