PDS Defense, Inc. is seeking a Legal Associate / Paralegal 6, in Annapolis, MD.

Job Description:

Seeking a Senior Associate, Entity Management you will work under the supervision of the Legal, Contracts and Compliance attorney(s).
This position can be worked remotely from anywhere in the US.

Primary Responsibilities:
* Draft and/or review and revise corporate governance documents for U.S. and non-U.S. legal entities, including, board and shareholder resolutions, annual general meetings, by-laws, certificates of incorporation or their equivalent, proxies and powers of attorneys, and other associated documents. Requires working effectively with both Collins and RTX business units, corporate and central functional groups and outside third parties, including law firms and other global service providers
* Manage changes to directors, officers, addresses, etc. for the global subsidiaries and branches
* Assist and support the teams in the Finance, Treasury, Tax and other functional groups with special projects, including restructurings, recapitalizations, dividend declarations, treasury agreements / documents and updates to banking authorities
* Arrange for document notarizations and apostilles/authentications; obtain good standing certificates, company extracts and similar documents
* Timely update and maintain subsidiary and affiliate database system (GEMS)
* Maintain minute books, Director/Officer lists, shareholder registries and other corporate records
* Analyze processes, recommend improvements, and develop and implement policies and procedures
* Promptly and completely respond to internal and external information and document requests regarding Collins/RTX business entities
* Assist with MA&D and post-acquisition integration activities
* Prepare delegations as requested by the businesses and various central functional groups
* Prepare documents to show passage of resolutions, incumbencies, signature authorities, etc. as requested by internal customers, service providers, and other outside third parties
* Prepare and/or review government filings for both U.S. and non-U.S. subsidiaries and branches, including acting as a key contact in the preparation and filing of annual U.S. state reports
* Assist with other projects as needed, including some administrative tasks, such as document storage, data updates and tracking, and any other tasks as may be required within Entity Management
* Liaise with and negotiate alternative fee arrangements with outside law firms and other service providers, review invoices, and submit for approval

Basic Qualifications:
* Bachelor's degree and 8 years of prior relevant experience OR
* Advanced Degree in a related field and minimum 5 years of experience OR
* In absence of a degree, 12 years of relevant experience is required

Preferred Qualifications:
* Prior experience in an international corporation or law firm overseeing multiple global legal entities
* Appointment as a Notary Public in State/County of hire or the ability and willingness to obtain
* Computer skills including prior database experience
