Summary:
The Staff Attorney position is a highly skilled and motivated attorney with commensurate experience needed to independently handle a variety of legal matters for JEAR Logistics. This is an exciting new position that will liaise directly with key management and executives as well as outside counsel as needed. The candidate will have at least five years of legal experience at a recognized law firm or in-house counsel with an organization of similar size. Preference will be given to candidates with strong commercial acumen and related legal experience. The scope and prioritization of role is intended as follows: (50%) Commercial matters – including claims, contract review and negotiation; (25%) Labor and employment; (25%) Risk and insurances.
Essential Job Functions:
- Manages the review and negotiation process for customer and vendor contracts, adhering to business rules to maximize partnerships with prospective and existing customers while simultaneously mitigating risk to JEAR.
- Collaborates with external counsel as needed to ensure effective representation and efficient resolution of legal matters;
- Provides legal advice and guidance on employment law issues, including compliance with federal, state, and local employment laws and regulations;
- Develops and maintains JEAR’s organizational business rules and establishes a clearly defined delegation of authority for specific business processes and approvals;
- Reviews and drafts commercial agreements, policies, and procedures to ensure legal compliance and to mitigate potential risks;
- Manages and participates in internal investigations regarding employment related issues and provides recommendations for appropriate actions;
- Advises management and liaises with HR personnel on employee relations matters, including disciplinary actions, terminations, and workplace accommodations;
- Manages some litigation matters with assistance from outside counsel including but not limited to contract disputes, personal injury claims, cargo claims, collections matters, commercial litigation, and employment disputes;
- Manages current and develops new executive compensation plans. The ideal candidate will have some experience with nonqualified deferred compensation plans, ESOPs, and/or other forms of executive equity compensation;
- Collaborates with the Finance department on various state sales and excise related tax matters;
- Partners with the Operations department on variety of mediation and claims related matters;
- Liaises with the executive team regarding corporate strategy and other tax planning;
- Stays abreast on updates and changes in laws, regulations, and industry trends related to transportation litigation, commercial and employment law, public relations, social media, and provides recommendations for necessary updates to JEAR’s policies and procedures;
- Directs other legal matters and projects as needed, including contract review and negotiation, risk assessment, and dispute resolution
Requirements
Minimum Qualifications:
Education:
- Juris Doctor (J.D.) degree from an accredited law school;
- Active license to practice law in the state of South Carolina or currently licensed in another U.S. state with the ability to become licensed in South Carolina;
- Extensive knowledge of federal, state, and local employment laws, regulations, and best practices;
- Excellent research, analytical, and problem-solving skills is expected for the role;
- Some experience with litigation matters
- Strong written and verbal communication skills with the ability to effectively communicate complexities across a wide range of internal and external parties;
- Detail-oriented with exceptional organizational and time management skills;
- Ability to work independently and collaboratively in a fast-paced environment;
- Proven ability to use professional sound judgment and maintain strict confidentiality
Experience:
- At least five (5) years of experience with a wide variety of (a) contract review and negotiation; (b) labor and employment experience; and, (c) claims matters;
- Prior experience working with contract management software is preferred;
- Some experience with litigation matters is preferred but not required;
- Well experienced in legal writing as well as creating and maintaining SOPs for the department and promoting best practices to the JEAR organization as whole;
- Good commercial acumen with a sense of urgency is a must;
- Solid analytical and problem-solving skills is expected
