Job description
The Corporate Governance Manager is a key member of the new Group Corporate Governance team. Reporting to the Deputy Director of Corporate Affairs and Head of Corporate Governance, the post holder will be responsible for maintaining the highest levels of corporate governance across the St George’s, Epsom and St Helier University Hospitals and Health Group, and for its constituent Trusts as sovereign corporate entities.
The Corporate Governance Manager will support a portfolio of Board Committees and management groups, leading the secretariat support to at least two monthly Board Committees and a minimum of one weekly or bi-monthly Site Management Group meeting. This will involve the provision of outstanding secretariat support to these forums, including advising the forum chairs, drafting reports from Committees to the Board, and ensuring Committees are properly constituted.The Corporate Governance Manager will provide professional, expert corporate governance advice and support to Board members, senior leaders and staff across the organisation and will promote high standards in the drafting of assurance reports. The post holder will work collaboratively with all members of the Group Corporate Governance team and proactively work to promote the collective success of the service.
• Through the Group Head of Corporate Governance and Group Chief Corporate Affairs Officer, support the Group Chair and Group Chief Executive in achieving and maintaining compliance of both St George’s University Hospitals NHS Foundation Trust and Epsom and St Helier University Hospitals NHS Trust with NHS England’sCode of Governance for NHS provider trustsand with best practice in corporate governance practices, policies, procedures and processes.
• Working in support of the Group Head of Corporate Governance and Group Chief Corporate Affairs Officer, ensure that the Board and its Committees are properly constituted, operated and supported, according to the relevant Standing Orders and the regulatory and statutory framework.
• Draft corporate governance and compliance reports for Committees and management groups.
• Undertake corporate governance projects in support of the development of the Group’s corporate governance arrangements and the development of the Group Corporate Governance function.
• To manage and support the effective delivery of a range of meetings of the Board Committees and sub-groups of the Group Executive - taking high quality minutes, preparing agendas, recording and following up on actions, forward planning the business of the Committee, briefing the Chair, calling for papers.
The St George’s, Epsom and St Helier University Hospitals and Health Group (GESH) is a recently-formed hospital group, comprising St George’s University Hospitals NHS Foundation Trust (SGUH) and Epsom and St Helier University Hospitals NHS Trust (ESTH), which includes Sutton Health and Care Partnership and Surrey Downs Health and Care Partnership. Sharing a single Chairman, Chief Executive and Executive team, the GESH Group is one of the largest healthcare providers in the country, with a combined annual turnover of around £1.7 billion, 16,000 staff, and serving a population of approximately 3.5 million people across South West London, Surrey, Sussex and beyond.
Over the past 18 months, GESH has established a Group Board, a number of Committees-in-Common (for Quality, Finance, People and Remuneration) and a new Group Operating Model, and is in the process of bringing together and harmonising the wider governance frameworks across the two constituent Trusts. The Group-wide Corporate Governance function will support the Group, the Trusts and the Site-based teams with professional corporate governance advice, secretariat support, and corporate compliance on a range of issues.
