Job description
Over the past 18 months, GESH has established a Group Board, a number of Committees-in-Common (for Quality, Finance, People and Remuneration) and a new Group Operating Model, and is in the process of bringing together and harmonising the wider governance frameworks across the two constituent Trusts. The Group-wide Corporate Governance function will support the Group, the Trusts and the Site-based teams with professional corporate governance advice, secretariat support, and corporate compliance on a range of issues. This is an exciting time to join the Group in a critical role as we further develop our governance structures, systems and processes and seek to become an exemplar of good governance within a hospital group.
The Senior Corporate Governance Manager is a key member of the new Group Corporate Governance team. Reporting to the Deputy Director of Corporate Affairs , the post holder will be responsible for maintaining the highest levels of corporate governance across the St George’s, Epsom and St Helier University Hospitals and Health Group, and for its constituent Trusts as sovereign corporate entities. The Senior Corporate Governance Manager will support a portfolio of Board Committees and management groups, and will deputise for the Deputy Director of Corporate Affairs as required. This will involve the provision of outstanding secretariat support to these forums, including advising the forum chairs, drafting reports from Committees to the Board, and ensuring Committees are properly constituted.The Senior Corporate Governance Manager will lead on managing key aspects of the compliance framework for the Group, including managing Group-wide and Trust-wide policies, declarations of interest, Fit and Proper Persons Test compliance, and management of internal audit follow-up, and will draft reports to the Board on Group compliance. The post holder will work collaboratively with all members of the Group Corporate Governance team and proactively work to promote the collective success of the service.
The St George’s, Epsom and St Helier University Hospitals and Health Group (GESH) is a recently-formed hospital group, comprising St George’s University Hospitals NHS Foundation Trust (SGUH) and Epsom and St Helier University Hospitals NHS Trust (ESTH), which includes Sutton Health and Care Partnership and Surrey Downs Health and Care Partnership. • Assist with the preparation and drafting of the Annual Governance Statements for the two Trusts’ annual reports in line with relevant regulatory guidance.
• Contribute to the development, implementation and review of corporate governance policies and procedures across the Group.
• Assist the Deputy Director of Corporate Affairs and Group Head of Corporate Governance in the management of compliance of the Group and its constituent Trusts with theCode of Governance for NHS providers, relevant statutory and regulatory governance provisions and with Trust-specific governance arrangements, including the St George’s Trust Constitution and the Epsom and St Helier Establishment Order. This will include assisting in the preparation of high quality compliance reports for the Group Executive and Audit Committee.
• Assist the Deputy Director of Corporate Affairs and Group Head of Corporate Governance in managing the framework for the development of Group policies.
• Manage the Group’s compliance with NHS guidance on the management of conflicts of interest, ensuring all decision-making staff have made appropriate declarations or nil returns.
• Support the Deputy Director of Corporate Affairs and Group Head of Corporate Governance in managing compliance across the Group with NHS England’s newFit and Proper Persons Test Framework for Board Members.
• Work closely with the Internal Auditors to the Group to ensure that management reviews and responds to draft internal audit reports in a timely way, and that management responses are presented to the relevant Executive governance forum; and ensure that learning from internal audit is shared across the Group in line with the agreed framework.
• Lead on the coordination of the Group’s engagement with relevant public inquiries
