Governance Manager (FTC role)

Job description
Governance Manager required by a leading charitable organisation based in central London to develop a best-in-class governance function for the organisation’s corporate governance frameworks, duties and activities.
This role is offered as a full time 4 to 6 month fixed term contract, salary £45-55k pro rata (may be slightly negotiable) – hybrid working (home and office based) – interviews asap!
The post holder will focus on:
- External regulatory requirements and best practice models such as the Charity Commission and the UK Charity Governance Code.
- Internal compliance with the organisation’s policy, By-laws and Regulations.
- Regular review of best practice, using light touch 3 year review to modernise governance where applicable
- Engaging with and influence boards and committees to implement and embed governance improvements, monitor and report compliance status and issues, and recommend actions to support future strategy and approaches.
- Support the Head of Department in providing solution-orientated technical advice to governance committees and colleagues regarding current governance matters. Monitor developments in external requirements, assess their implications and opportunities for the organisation, and recommend actions to evolve governance frameworks to ensure they act as enablers for excellence.
- Support in reviews of the policy and By-laws and contribute technical advice and proposed modifications to rationalise content that supports best in class corporate governance.
- Manage the organisation and delivery of the organisation’s corporate elections in accordance with By-law requirements and deadlines including for the publication of official notices, production of ballot papers and booklets, and working with the Independent Scrutineer to ensure the proper recording and reporting of voting results.
Essential requirements:
- Track record of working in the not for profit sector, preferably within a registered charity or member association, and working productively with volunteers.
- Line management or supervisory experience (in person and virtually) to achieve team objectives and targets and supporting the professional development of staff.
- Experience in managing and delivering corporate elections.
- Experience in complex governance matters, interpretation of governing and legal documents such as By-laws.
- Knowledge and experience of using Civica or My Voice
