Role Purpose
We are seeking a highly organized and detail-oriented individual to join our team as a Company Secretary. As a key member of our company, you will be responsible for providing administrative and organizational support to ensure the smooth and efficient operation of our Group business.
Accountabilities
- Guiding the board on their responsibilities under all procedural and governance related rules and regulations to which they are subject and how those responsibilities should be fulfilled, including making recommendations in relation to best practice.
- Supporting the chair in ensuring the board functions efficiently and effectively.
- Ensuring good information flows within the board and its committees and between senior management and non-executive directors.
- Maintaining good shareholder relations and keeping the board informed on shareholders' views.
- Developing and overseeing the systems that ensure that the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Monitoring changes in relevant legislation and the regulatory environment and taking action accordingly.
- Overseeing the day-to-day administration of the company, e.g. maintaining statutory books, including registers of members, directors and secretaries, organising board meetings, filing annual returns at Companies House, updating the Company delegations tracker, preparing agendas and taking minutes.
- Having responsibility for insurance and share registration and ensuring the security of the company’s legal documents, including for example, the certificate of incorporation and memorandum and articles of association.
- Communicating with the Shareholder (including their legal team and monitoring officer) to ensure the Company is operating within the appropriate council authorities/delegations and agreeing what changes are required accordingly.
- Support the board of directors in fulfilling their duties and responsibilities.
- Attending to queries that arise within the business relating to Company Secretariat issues.
- Handle the drafting and review of legal contracts and other legal documents.
- Keep abreast of changes in legislation and regulations relevant to the industry.
- Able to get work done and make a difference i.e. delivering business-oriented solutions and approaches through influence, coordination and individual effort
- Effectively communicate information required by all levels of the business with the objective of assisting the organisation in achieving its strategies
- Strong influencer able to engage fully at all levels and create a culture in line with Company values
Essential
Knowledge of the leisure, travel, and tourism industry is a plus
- Bachelor's degree in business administration or a related field
- Proven experience as a company secretary or in a similar role
- Excellent organizational and time management skills
- Strong attention to detail and accuracy
- Proficiency in Microsoft Office Suite and other relevant software
- Knowledge of company law and governance practices
- Exceptional communication and interpersonal skills
- Ability to work independently and collaboratively in a team environment
- Flexibility to adapt to changing priorities and deadlines
