Job description

Edward Reed is actively recruiting for an experienced Corporate lawyer to join our acquisitive professional services client, head-quartered in the Northeast.

We are searching for a very capable and ambitious transactional lawyer. The ideal candidate must be adaptable and be able to work in a team environment dealing directly with the wider M&A team, professional adivsors, acquisition targets and panel legal firms.

The successful candidate will demonstrate the ability to operate with a level of commercial acumen and transaction experience in addition to strong technical legal and strategic knowledge.

Primary Responsibilities

• Leading the legal process
• Early stage legal structuring and planning on more complex acquisitions
• Leading on legal documentation including NDAs, Heads of Terms together with all buy-out and full acquisition document suites
• Internally running a number of deals each year (a minimum of 6)
• Legal DD input and co-ordination
• Project management of the legal process
• Managing outsourced legal services when used
• Working closely with the Head of Financial Due Diligence and Transaction Services to obtain board approval on acquisitions
• Full acquisition execution process and reporting
• Creative adaptation and development of legal deal structures to enable the company to adapt to market movements/opportunities and continue to differentiate, whilst still
• Support in managing commercial risk and return
