Our client seeks a Corporate Governance Officer to join their team. Role Profile: To provide fund / company administration, company secretarial, registrar and compliance services to client companies and funds; To ensure that high standards of customer service are met at all times; and To ensure compliance with applicable regulations, legislation and guidelines, and with the Company's established policies/procedures and corporate governance framework. Key Responsibilities: Business Development: Ensure a high-level service to deliver, build trust, and communicate effectively to existing clients. Client Service and Operations: Company secretarial duties: the company secretary is the key advisor to the board of directors on matters of corporate governance and their duties as a director. This will include dealing with conflicts of interest, managing the interests of the shareholders and other stakeholders, dealing with applicable codes, acts, regulations and investor guidelines, offering documents/prospectus, assisting with drafting of policies, statutory filings for the relevant jurisdiction.Co-ordinating meeting arrangements: minute taking for Board, committees, members and follow up actions.Shareholder / registrar function: maintenance of the share register of the company/fund for each issue of securities, including the maintenance of register for options and warrants if applicable. Issuing and allocating new shares to investors, maintenance of register following a corporate action (subscriptions, buy backs, consolidations, placings etc) issuance of share certificates. Maintaining the books, records and statutory registers of the Company/Fund. Carry out more specialised duties across all the Companys fund/company clients, as may be required for the efficient operation of the team. To support other members of the Corporate Governance team by providing cover for their own portfolio of clients.Compliance: Dealing with client onboarding (investors and structure). Administer the client companies in compliance with applicable governance framework applicable to the structure type and jurisdiction (including but not limited to): adopted governance code,collective investment scheme rules and guidance notes, AML/CFT rules, Beneficial ownership act 2017 (IOM Companies), persons with significant control (UK Companies), London stock exchange rules, disclosure and transparency listing rules, market abuse rules. Co-ordinate and process customer due diligence (CDD/EDD) in accordance with the AML/CFT rules.Process investor and fund customer risk assessments and deal with ongoing obligations in line with AML/CFT rules. Accounting and Finance Provide assistance to the payments team with the provision of information for opening bank accounts of fund/company clients.Assist the funds teams with transaction monitoring, review of inward and outgoing payments in compliance with the AML/CFT rules and internal procedures.Assist and support the approval of clients' expenditure, e.g. directors fees, consultancy fees, third party invoices.
