Job description

Position: Legal Secretary

Location: London, Mayfair

Salary: £30,000 - £35,000 per annum + bonus

Capstone have partnered with a leading, commercially driven global real estate developer and asset manager, with a shared capital of over $8billion, and 50 investment projects under development across 20 countries. They are looking for a highly diligent Legal Secretary, Responsible for legal secretarial related duties in relation to all Europe & Americas entities. Assisting the General Counsel and Paralegal with all corporate governance, corporate operations and legal compliance matters.

Duties & Responsibilities:

LEGAL

To provide legal support to the General Counsel and Paralegal when required in particular in relation to administering NDA's, Consultant Appointments and Additional Service Letters.

To assist in ensuring that executed documents are retained in accordance company policies including working with company advisors and systems where documents are stored electronically (e.g. Conject, Sales Force and other electronic document collaboration systems).

To assist members of the project teams on an ad-hoc basis

COMPANY SECRETARIAL DUTIES

To liaise with JV partners and other company secretaries to organise and maintain Board Meetings calendar.

To draft Notices, Agendas and collate Board Packs.

To maintain a comprehensive and organised database of all corporate documents and always ensure fully up to date.

To maintain the Company Books (including electronic versions)

To address all necessary corporate filings in accordance with legislative and other requirements and ensure all deadlines are met and all obligations fulfilled in a timely manner.

To update Organisation Charts and the Companies Overview Spreadsheet.

To circulate resolutions.

To take Board Meeting minutes and ensure these are circulated to Board Members and written up.

ADMINISTRATIVE DUTIES

To manage electronic filing for all UK managed projects.

To co-ordinate legal meetings.

To co-ordinate with General Counsel's diary and update with dates of Board and Shareholder Meetings.

Typing, formatting, amending contracts, letters and other legal documents.

To perform general administrative duties as appropriate to the level and nature of the role.

Accountabilities:

Responsible for maintaining, reviewing, and circulating legal paperwork;

Responsible for providing comprehensive support to Legal department;

Responsible for supporting development teams in relation to board reports;

Responsible for supporting administration team.

Competencies:

Highly methodical, efficient and well-organised

Focused on attention to detail and achieving excellent degree of accuracy

Able to understand legal matters

Sound judgement

Robust and able to cope under pressure

Excellent command of written and spoken English with good presentational skills

Good interpersonal skills
