Job description
The Corporate Governance Officer is a key member of the new Group Corporate Governance team. Accountable to the Deputy Director of Corporate Affairs and Group Head of Corporate Governance, relating to and supporting the Chief Corporate Affairs Officer, the post holder will be responsible for maintaining the highest levels of corporate governance across the St George’s, Epsom and St Helier University Hospitals and Health Group, and for its constituent Trusts as sovereign corporate entities. The postholder will have a broad remit as part of the Corporate Affairs team to ensure that corporate governance is embedded throughout the Group and supports each of the Trusts in the fulfilment of their statutory and regulatory duties. The postholder will assist the Deputy Director of Corporate Affairs and Group Chief Corporate Affairs Officer on issues relating to corporate governance and help to ensure the Group’s corporate affairs are undertaken and directed to the highest standards of probity and according to statutory and legislative requirements, and in accordance with the applicable regulatory framework. The Corporate Governance Officer will work closely with colleagues within the offices of the Executive Directors, with Site leads, and across the clinical divisions of both Trusts, in order to ensure that the Group meets best practice in corporate governance.
• To manage and support the effective delivery of a range of meetings of the sub-groups of the Group Executive and other ad hoc Executive meetings (prepare agendas, take high quality minutes, record and track actions, prepare forward plans, brief chair).
• Ensure all relevant information pertaining to conflicts of interest declarations made at the relevant forums are flagged to the Senior Corporate Governance Manager are recorded on the Group’s declarations of interest portal and registers, and that all relevant information required to make a valid declaration is sourced from the relevant individuals.
• Ensuring registers of interests are maintained for all members of the Board of Directors of both Trusts within the Group, and kept fully up-to-date.
• Assist in the management of requests under the Freedom of Information Act, supporting the FOI Manager in allocating FOI requests, following up on requests to staff, ensuring appropriate sign off of responses.
• Coordinate availability of Board members for extraordinary Board meetings, Board briefings and seminars, Committee meetings, and other meetings .
• Maintain and update the Corporate Governance team’s intranet and internet pages .
• Raise requisitions for the Group Corporate Governance team.
• Coordinate the regular programme of visits by non-executive directors across the Group’s sites.
