Job Title: Legal Counsel - Corporate M&A

Position Overview: We are currently seeking a Legal Counsel with expertise in Corporate M&A transactions. The role will involve mergers and acquisitions transnational processes, drafting and negotiating NDAs, reviewing VDRs, overseeing execution and managing post-closing matters. This position offers the opportunity to join a dynamic team and contribute to the growth and success of the company.

Key Responsibilities:

• Manage and oversee Corporate M&A transactions from inception to completion.
• Draft, review, and negotiate NDAs, transaction documents, and other legal agreements.
• Select and coordinate with outside counsel as needed throughout the transaction process.
• Conduct due diligence investigations and review VDRs to identify potential risks and liabilities.
• Oversee the execution of transactions and ensure compliance with legal requirements.
• Handle post-closing matters, including the resolution of any issues or disputes that may arise.

Qualifications:

• UK qualified Solicitor with ideally between 2-5 years PQE but candidates with good prior pre-qualification experience under the PQE would be considered.
• Proven experience in Corporate M&A transactions and related legal matters.
• Strong drafting, negotiation, and analytical skills.
• Excellent attention to detail and the ability to manage multiple projects simultaneously.
• Ability to work independently and collaborate effectively with cross-functional teams.
• Strong communication and interpersonal skills.

Additional Details:

• Work Schedule: 1-2 days per week office-based
• Salary: Up to £70,000 per annum, plus bonus and benefits
