Job description

We are looking for an exceptional Trustee to support the Chair with secretarial duties to ensure that the board runs smoothly.  

What will you be doing?

The Behavioural Science and Public Health Network is a very small charity with high ambitions. 

The charity is a leading network for professionals interested in all domains of public health wishing to develop an understanding of health and wellbeing from a behavioural, social and psychological perspective.  We help professionals from both public health and behavioural science achieve this through sharing best practice, learning, events, networking, mentoring and supporting people. The Charity is registered in England as a Charitable Incorporated Organisation.  At present we have no staff but a good cadre of volunteers who are passionate and committed to our aims.

We are a small but rapidly growing charity at a pivotal moment in our evolution.  

In addition to the general responsibilities of a trustee, duties of the secretary are as follows:

• Preparing agendas in consultation with the chair and chief executive, and circulating them and any supporting papers in good time
• Making all the arrangements for meetings (booking the room, arranging for equipment and refreshments, organising facilities for those with special needs, etc)
• Ensuring the arrangements for Annual and Extraordinary General Meetings are well managed and delivered
• Receiving agenda items from other trustees/staff
• Checking that a quorum is present
• Taking minutes (or being responsible for them being taken) and circulating draft minutes to all trustees
• Ensuring that the minutes are signed by the chair once they have been approved
• Checking that trustees and staff have carried out actions agreed at a previous meeting
• Circulating agendas and minutes of the annual general meeting and any special or extraordinary general meetings (where required)
• Keeping core records of appointments of Trustees and demittals
• Compliance with Charity Commission reporting and governance functions and reports, including liaison with the Treasurer and any other Trustees to achieve this
• Sitting on appraisal, recruitment and disciplinary panels as required
• Ensuring we are compliant with regular governance assessments and good practice.

What are we looking for?

In addition to the responsibilities of a trustee, the secretary should have the following qualities.

• Organisational ability
• Knowledge or experience of business and committee procedures
• Minute-taking experience, if this is not being delegated to staff
• Knowledge of charity law
• Knowledge or a willingness to learn the key reporting responsibilities of a Charitable Incorporated Organisation.

As part of our board you will support and shape our work and strategic direction, as well as help us achieve our purpose to promote the use of the behavioural and social sciences to improve population health.  This is a vital role, helping ensure we can continue our support for professionals working to improve population health outcomes. As a trustee, you will have a real opportunity to offer your unique skill set to help the strategic progression of the charity.  The role of Trustee Secretary is a key board role - not only do we need someone to keep us on track administratively, but even more significantly, we are looking for someone to help us formulate our vision for the future.
