JOB TITLE: Assistant Company Secretary LOCATION: Remote EXPERIENCE: 5+ years SALARY: £65,000 - £75,000 THE ROLE: Our client requires an experienced Assistant Company Secretary with expertise in corporate governance relating to the UK and European legal entities. Primary responsibilities include the following:
• Drafting, reviewing, and preparing corporate governance documents including board and shareholder resolutions, annual general meetings, and other associated documents.
• Working effectively with business units, outside third parties, law firms and other global service providers.
• Assist and support Treasury, Finance, Tax, and other teams with special projects (restructurings, dividend declarations, treasury agreements and updates to banking authorities)
• Arranging for document notarisations, authentications, and similar documents
• Timely update and maintenance of subsidiary and affiliate database systems (GEMS)
• Maintaining minute books, shareholder registries and other corporate records
• Analyse processes and ensure the development and implementation of policies and procedures.
• Respond to internal and external information and document requests regarding entities promptly and completely.
• Prepare documents to show the passage of the resolution and review government filings for subsidiaries.
• Assist with MA&D and post-acquisition integration activities.
THE CANDIDATE: Experience as an Assistant Company Secretary dealing with regulatory matters of the company is crucial for this position. The ability to handle a heavy workload as a part of a geographically dispersed team is paramount, along with the ability to work remotely with minimal daily supervision. You should be able to multi-task effectively and prioritise time-sensitive matters and projects efficiently. Ideally, you should possess the ICSA qualification and have experience and knowledge of corporate governance, preferably relating to the UK and European entities.
