Company Secretary Role Profile: This is an exciting opportunity for a technically strong candidate with company secretarial experience to work in a fast pace and challenging environment within a multinational private company. Key Responsibilities: Attending and minuting board meetings. Drafting and recording ad hoc board approvals. Maintenance and timely update of extensive Group company secretarial records, including setting up of statutory books and registers for new companies. Monitoring of accounts and preparation and submission of Confirmation Statements due for Group companies on Companies House. Company incorporations, wind ups and dissolutions. Day to day company secretarial services, including officer appointments, resignations, changes of registered address, name changes and change of accounting reference date. Dealing with statutory filings and administration following allotment of shares, transfers of shares, buy-back of shares, including Companies House filings and updating Group company registers. Timely filings with Companies House. Assisting on completions and company secretarial requirements for transactions. Conducting research and preparing research notes/memos, as required. Responding to queries from HR, Legal, Compliance and Finance Department. Using company information tools such as Companies House Direct to establish certain facts, downloading and uploading documents. Other responsibilities as agreed from time to time. Calendar management, timetabling Board meetings and assisting with arranging meetings. Review and upkeep of certain processes and procedures for which they have nominated responsibility. Preparation and distribution of Board minutes / packs / action points etc. Key Skills & Experience: Ideally legally qualified and/or ISCA qualified/part qualified. Minimum of two years' co-sec experience in relevant position. Good working knowledge of corporate legislation (particularly Companies Act 2006) and Companies House practices. Company secretarial experience and experience in areas such as Company Law and corporate transactions. Previous experience of attending and minuting board meetings - essential. Proven to be discrete and trusted with sensitive information. Ability to communicate effectively cross-functionally with people at all levels of seniority. Ability to multi-task and a proven ability to work unsupervised and operate with a high degree of autonomy. Highly organised and able to work under pressure and meet tight deadlines. Excellent attention to detail, conscientious, diligent and proactive. Excellent interpersonal skills (verbal and written communication) in English. Good working knowledge of Viewpoint or other similar company secretarial software. Good IT skills (Outlook, Word, Excel, and PowerPoint.
