Job description
- Preparation/finalization of Notices Agenda and Minutes of Board meetings Committee meetings and Shareholder s meetings. Preparation/ updation of Statutory registers including minutes books shareholders registers etc
- Conduct Board meetings Committee meetings Shareholder s & Investor s meetings
- To ensure Compliance of Companies Act FEMA Regulations as well as Bank Specific Compliances
- To ensure adherence of company s policies SOPs Matrix and guidelines
- Preparation of various Notes Letters/ Notices/Responses etc.
- Internal and Statutory Audit Assistance and Support Function to Accounts and Finance Department
- Compliance of associate /affiliated subsidiaries including overseas subsidiaries/associate entity
- Dealing with internal and external parties and coordination with various stakeholders directors banks shareholders auditors governmental agencies and other regulatory authorities
- Foreign Law Research and Compliances as and when required
- Investment due diligence Incorporation of new entities NBFC Registration
- Execution / review of agreements/contracts on need basis
- To assist/guide management in relation to the secretarial and legal aspects.
