Job description
This is an exciting opportunity to work at the cross-section of Fund Raising, Investing and Mamp;A at Miko. As a Mamp;A Associate, you will be partnering with the Business Areas to drive Fund raising, alongside identifying and developing a pipeline of target companies that will shape Miko's product portfolio.
The candidate will utilize industry best practices in fund raising, identify and successfully execute mergers, acquisitions, joint ventures, and related activities. As part of Corporate Strategy and Development, the candidate will be critical in helping the corporation realize its strategic objectives through inorganic growth.
In this role, the candidate will develop strong cross functional skills by working closely with finance, business operations, IT, HR, and Legal. They will develop a streamlined roadmap to supporting the overall success of the investment. The Mamp;A Associate will also work on post-investment activities such as business performance monitoring, claims, reps/warranty monitoring, etc. They will develop a post-merger economic analysis to evaluate and improve value capture within Corporate Development.
Responsibilities - Researching industry trends and competition which will help in identifying areas of focus for strategic investments and acquisitions
- Evaluating potential acquisition targets - both qualitatively and quantitatively
- Preparing investment memos/ target profiles for the senior management- Supporting the entire deal cycle - from sourcing till closing, including integration
- Supporting fundraising and other strategic activities- Support with the internal and external stakeholders' co-ordination; Internal stakeholders would include BU heads amp; support functions and external stakeholders would include investment bankers, diligence agencies, consultants etc.
- As an integral part of Mamp;A team, the candidate will be actively involved in assisting with corporate transactions like Mamp;A, JV, capital raising etc.
- To actively assist in all process elements of Mamp;A function including but not limited to market intelligence, deal solicitation, diligence and deal completion
- Assist the team in creation of reports such as external intelligence on Industry/ Competition/ business environment to identify opportunities for growth and possible challenges for business
- Assist the team with Financial and legal Due Diligence.
- Assist the Team with creation of pitch decks for Board and Investor Meetings
- Building detailed business case decks including detailed target profile, synergy projections, shareholder value creation, etc.
- Providing legal support for all related transactions; working closely with cross-functional teams and specialists in other groups across internal and external teams
- Reviewing documents for legal due diligence in parallel to or independent of external law firms
- Coordination with external law firms/financial consultants and provision of internal advice on various syndicated, structured and project financing deals
Skills Required - Financial/Business Modelling, Analysis, Market Research, Valuation Techniques, Transaction documents' review
- Planning and developing creative investment monitoring strategies and approaches to realize business objectives and maximize value creation
- Well organized, with strong management skills and be able to get the best from colleagues to ensure successful delivery to deadlines
- Cross functional and cross business area experience
- Clear understanding of corporate strategy initiatives
- Strong communication, presentation, and facilitation skills
Qualification - MBA + Engineer, with 1-4 years of post MBA experience
- Prior experience in Fund Raising, Corporate Mamp;A, Investment banking, Investment Research, Venture Capital will be a plus
- Strong corporate finance, analytical and communication skills required
