Responsibilities:

Corporate Governance: Maintain and oversee the company's compliance with legal, regulatory, and statutory requirements, ensuring adherence to corporate governance principles and standards.
Board Support: Organize and prepare materials for board and committee meetings, including agendas, minutes, resolutions, and other documentation. Ensure timely communication and follow-up on meeting outcomes and actions.
Corporate Records Management: Maintain and update corporate records, registers, and filings, including shareholdings, directors' details, and changes to the company's structure. Ensure proper documentation and filing of minutes, resolutions, and other legal documents.
Shareholder Management: Facilitate effective communication between the company and its shareholders, ensuring compliance with all relevant laws and regulations. Organize and prepare documentation related to shareholder meetings, resolutions, and voting procedures.
Company Policies and Procedures: Assist in the development, implementation, and review of company policies and procedures, in alignment with legal and regulatory requirements.
Compliance and Reporting: Monitor changes in relevant laws and regulations, conduct compliance checks, and advise management on necessary actions to ensure compliance. Prepare and submit required regulatory filings accurately and within the specified timelines.
Contract Administration: Assist in drafting, reviewing, and interpreting legal contracts, agreements, and other legal documents. Collaborate with internal stakeholders to ensure contract compliance and address legal issues as needed.
Risk Management: Identify and assess risks that could impact the company's operations and reputation. Develop and implement risk management strategies and policies.
Training and Awareness: Conduct training sessions and awareness programs to ensure that employees understand their legal and compliance obligations.
Company Secretarial Support: Provide professional advice and guidance to senior management and the board on matters related to corporate governance, legal compliance, and regulatory requirements.

Qualifications and Skills:

  • Bachelor's degree in Business Administration, Law, or related field.
  • Professional qualification such as Associate Company Secretary (ACS) or equivalent.
  • Proven work experience as a Company Secretary or in a similar role.
  • Sound knowledge of corporate governance principles, legal and regulatory framework, and industry best practices.
  • Familiarity with relevant company legislation and governance codes.
  • Strong organizational and administrative skills, with great attention to detail.
  • Excellent communication and interpersonal skills to interact with various stakeholders.
  • Ability to handle confidential information with integrity.
  • Strong analytical and problem-solving abilities.
  • Proficiency in using technology for data management and documentation.
