Location: Vikhroli, Mumbai
Job Purpose:
The Manager – Mergers & Acquisitions is responsible for market scanning, assistance in evaluation and due diligence, financial modeling, transaction coordination, execution and documentation finalization. It also includes integration of the acquired entity with the parent organization and monitoring the performance of the target post acquisition.
Roles & Responsibilities:
Defining the inorganic growth strategy GCPL:-
- Assisting in defining and proposing strategic direction, filtering target companies and industries through the M&A criteria.
- Working on streamlining existing strategy for M&A - specific focus categories/ countries
- Interact regularly with business unit leaders to understand strategies of the business units
- Gain market insights in a timely and proactive manner that may be leveraged in planning inorganic growth initiatives
Developing the pipeline of M&A opportunities (M&A Playbook):-
- Based on the M&A criteria, facilitate identification, evaluation & validation of suitable inorganic growth opportunities for GCPL's businesses
- Assist in conducting preliminary due diligence to identify and shortlist target companies in specific domains/ sectors. In particular assisting in compiling and analyzing data regarding companies to be acquired, and interpreting its financial health based on data analysis
- Create presentations on potential investment opportunities; prepare business presentations and write-ups for management committee
- Create and maintain target lists, precedent transaction comparables, and public comparables to keep the management aware of market trends and key metrics.
- Work with investment bankers and other financial advisory firms to seek external inputs, wherever required
Deal execution:-
- Assist in conducting detailed due diligence once the target has been finalized, and develop integrated revenue/expense analyses, projections, reports, and presentations regarding the impact of an acquisition/ divestment on the organization (including identification of risk and its mitigation)
- Working closely with business, finance, legal functional teams along with external consultants to manage all aspects of the deal process
- Carry out divestment for the businesses identified through proper processes.
- Assist in development of structuring alternatives for M&A and divestiture opportunities. Specifically, understand the best financial structure for acquiring the target (cash vs. equity) and work with the teams to fulfill it
- Assistance in preparation of business case for the acquisition/ divestment
- Preparation of binding/ non-binding offers and transaction documentation including discussion and interaction with the target on the transaction documentation
- Coordinate with Treasury team for funding of the transactions
- Coordinate with business teams for preparation and roll out of target integration plan. Specifically, understand the value unlocking levers post-merger/ acquisition, and create a roadmap to unlock these levers
- Regular monitoring and reporting of target performance vis-à-vis projections
- Project manage the entire deal making process
Provide analytical support (including post acquisition integration support) for selected ad-hoc projects
Working on specific identified M&A projects across other businesses within the Godrej Group.
Educational Qualification: CA (First attempt)
Experience:
- Total experience of 1- 3 years in IB / Consulting / Big 4 / Corporate M&A team.
- Previous experience in CPG / Retail / Pharma industry will help`
Skills:
- Understanding of the M&A process
- Proficiency with Microsoft Office, ability to create reports or presentations to a professional standard
- Thorough understanding of financial accounting, including the inter-relationship between the key financial statements (profit and loss statement, balance sheet and cash flow statement)
- Familiar with standardized financial metrics (sales, gross margin, net income, EBITDA, free cash flow, capital employed)
- Strong knowledge of the fundamentals of corporate finance (M&A) - understands the concept of Enterprise Value, Net Debt and Equity Value
- Understanding of basic legal terms / structure of documentation (SHA, SPA. JVs etc)
- Able to lead complex and demanding projects whilst managing multidisciplinary and multicultural teams often in multiple legal entities
- Highly developed attention to detail
- Problem solving skills and able to deal with complex issues
- Excellent organization skills
