Job Description:
Work partially in the United States Eastern time zone
Should work across multiple geographies and multiple businesses. Hence ability to work with teams very important.
Excellent research skills.
A strong personality who would manage business pressures well.
Passion for writing; ability to articulate both orally and in writing the necessary thoughts.
Methodical and systematic in approach.
Continuous updation of skills and knowledge.
Ability to prioritize work and assignments.
Should be technically savvy . Proficiency in using Microsoft Office Suite.
Exposure and experience with corporate law in the United States is a must. And also employment law in the United States.
Experience in a technology services company would be a plus although not a limiting factor.
Experience in handling board meetings and related activities would be a plus.
Roles and Responsibilities:
1. Contract lifecycle management across all geos:
a. Customer contracts/NDA s/Scope of Work (SOW s)
b. Employment contracts
c. Vendor contracts
d. Contractor related contracts
e. Any other contracts
Support different business units/departments of Companys group with respect to contract
lifecycles starting with proposals going out to customers in the form of SOW s and
storing the signed contracts in appropriate repositories for retrieval as and when
required by identified person(s).
Change management/monitoring to be implemented.
Continuous automation/simplification/standardization of processes for quicker response times.
Ensure that all local and international laws and compliances are always met.
2. Compliances/local laws across all geos as a general counsel and hence opinion shall be provided on a proactive basis from time to time:
a. Sales tax/VAT/GST laws
b. Employment/Labor laws
c. Tax laws
d. Corporate law
3. Coordinate with external counsels as required.
4. Risk projections and mitigation.
a. The role to support the CFO in managing multiple types of risks be it customer risks lawsuit risks compliance risks etc.
b. Customer negotiation as required while managing potential risks.
5. Research regulations/compliances in different states of US.
6. Other special projects that may come up from time to time.
