Job Description:
As the Company Secretary, you will be responsible for ensuring that the company complies with all statutory and regulatory requirements, and you will play a pivotal role in fundraising initiatives, loan documentation, and the IPO process. Your attention to detail, legal acumen, and strategic thinking will contribute to the company's success in achieving its financial objectives.
Key Responsibilities:
1. Corporate Governance:
- Manage and organize board meetings, ensuring compliance with legal and regulatory requirements.
- Maintain statutory records and ensure filings with regulatory authorities are accurate and timely.
- Advise the board on corporate governance best practices.
2. Fundraising Activities:
- Collaborate with executive leadership to develop fundraising strategies aligned with the company's financial goals.
- Lead the preparation of fundraising documentation, including prospectuses and information memoranda.
- Liaise with financial institutions, investors, and stakeholders to negotiate terms and finalize fundraising agreements.v
3. Loan Documentation:
- Oversee the preparation and execution of loan agreements, ensuring compliance with all legal and regulatory requirements.
- Work closely with finance and legal teams to structure loan transactions effectively.
- Maintain relationships with lending institutions and negotiate favourable terms.
4. IPO Process:
- Coordinate and manage the IPO process, collaborating with internal and external stakeholders.
- Prepare and review IPO documentation, ensuring accuracy and compliance with regulatory standards.
- Facilitate communication with regulatory bodies and underwriters throughout the IPO process.
