Job description

Role

The Company Secretary and Compliance Officer will be responsible for all Secretarial Functions and Compliances of the Company and its Wholly Owned Subsidiary.

Key Responsibilities

  • Responsible for all Company Secretarial Functions, Duties and Responsibilities.
  • Handling of the Wholly Owned Subsidiary to the Holding company.
  • Compliances as per SEBI (Listing Obligations & Disclosures) Regulations and all the existing rules and regulations with NSE and BSE and other Stock Exchanges.
  • Secretarial and Compliance functions of the Company, its Subsidiary and other Companies of promoters including all the Annual and Event based requirements.
  • Handling Due-Diligence and Legal & Secretarial Audits.
  • Organizing and Preparing Agenda, Notices and Minutes for all types of meetings.
  • Maintaining statutory documents and records.
  • Preparation and filing of various forms with ROC, SEBI, RBI etc.,
  • Preparation of Annual report, Directors Report, Compliance Certificates, Risk Analysis and various policies required under Corporate Law.
  • Liaising with regulatory authorities, lawyers and auditors.
  • Loan Documentation / Execution of loan documents/ Registration of charges.
  • Compliances relating to raising capital viz., Issue of Equity, Debenture, Indian Loan, FDI etc.,
  • Formulation and implementation of various policies & procedures related to Board and Employees like Code of Conduct, Disciplinary Procedures, Vigil Mechanism, Risk Management, etc and advising on various employment related issues and matters.
  • Monitoring changes in the business legislative and regulatory environment.
  • Ensuring the company complies with standard legal practice and maintains standards of corporate governance.

Work Experience And Skills

  • Must have Work Experience in a Listed Company as Company Secretary and Compliance Officer
  • Strong knowledge of Corporate and Secretarial Laws, Governance Framework and their applicability
  • Excellent Communication Skills both in Writing and Presentations
