JOB TITLE: Sr. Associate – Trademark Counsel (Attorney)

Our business is anchored by a passion for innovation brought to life by a global community of diverse individuals determined to deliver on the promise of data mastery, legal acumen, and human ingenuity OVERALL PURPOSE OF JOB: This is a lawyer role with UnitedLex supporting exclusively the Haleon Intellectual Property (IP) team. This role is about supporting the IP team on all transactional intellectual property issues that arise in the context of business transactions, such as divestments, acquisitions, licensing, mergers, JV, distribution agreements, etc. This role focuses on Haleon brand rights, trade marks, copyrights, domain names, and related rights, and requires working globally with multi-disciplinary and multi-cultural functions, teams and stakeholders. QUALIFICATIONS · Qualified as a solicitor/attorney from accredited law school with bar qualification · Must be actively licensed attorney · Minimum 5 years experience practicing intellectual property law with experience managing complex intellectual property matters · Expertise in trade mark, copyright, domain names · Expertise in patent is a plus · Experience in providing legal advice in complex business transactions · Proven experience in drafting and negotiating IP agreements · Excellent research, analytical, and communication skills · Strong attention to detail and the ability to manage complex, multifaceted transactions · Experience in dispute resolution related to intellectual property is a plus · Client-focused approach and the ability to build strong client relationships SKILLS Driving growth · Takes accountability to deliver commitments and pushing for outcomes · Leverages data and collective knowledge to build strategic plans, driving productivity, growth and shareholder value · Moving things forward by stretching beyond comfort zones and by being obsessed with beating the competition, pushing boundaries and challenging the status quo · Ability to juggle multiple tasks - dynamic, and action-orientated, which meets deadlines and makes it happen Deeply understands consumers and customers · Brings the outside in by approaching everything with inquiry and an effort to understand consumers’ and customers’ needs · Is focused on the future of Haleon by continuously looking at the future to shape priorities and keeping in mind Haleon continued and sustainable success at an enterprise level · Drives curiosity by their insatiable appetite for learning and growth and by being curious and open-minded to diverse and new perspectives that meet our stakeholders’ needs today and tomorrow · Ability to work efficiently under pressure and effectively manage competing priorities · Ability to resolve ambiguities and provide legal guidance in uncertain situations Team building focus · Is purpose driven by leading with purpose, focusing on the “why” and the impact that their action have on the team · Breaks down barriers by working in an agile way across boundaries, challenging siloes and inefficiencies, with an owner mindset, prioritizing what matters most · Adapts style for positive impact by always being authentic and self-aware, always welcoming feedback, and staying responsive to the environment and stakeholders, and demonstrating flexibility of approach and always acting with integrity · Counselling business colleagues adapting to a variety of communication styles and needs Motivates and unleashes potential · Cares and includes by creating a positive and inclusive place where diversity is valued, people feel a sense of belonging and can bring their best selves to work · Grows others by stretching and supporting each other and challenging with empathy and candour to encourage continual growth and drive performance · Inspires others by displaying passion about their work and the team KEY RESPONSIBILITIES: · Conduct detailed due diligence on intellectual property assets to assess the validity, scope, and enforceability of IP rights in connection with transactions · Participate in periodic project discussions with key stakeholders and other legal counterparts to track due diligence findings. · Audit, analyse, assess the intellectual property portfolios of Haleon but also those of third party entities to transactions to identify potential risks and opportunities · Review and draft IP-related agreements, including licenses, assignments, and various transactional agreements/documents · Review and edit IP related clauses in corporate transactional agreements (Share Purchase of Agreements, Sale Purchase Agreement, Asset Sale Agreements etc.) · Draft memo and presentations on one’s findings and research conclusions · Support in the development of IP portfolio optimization, including identifying opportunities for monetization and risk mitigation · Collaborate with other attorneys and professionals in cross-functional teams to support Haleon’s Brand Rights Team transactional work · Develop and maintain positive relationships with colleagues by providing high-quality, responsive, and proactive legal services · Stay up-to-date on legal and industry standards in the transactional and due diligence space · Supporting Vice President – Commercial/IP Transactions Attorney in his/her day-to-day activities · Create and deliver training to in-house clients · Perform other related activities as requiredJob tags
