About Our Client Our client is leading commodity manufacturing MNC and is a listed entity in India. They are looking for Head of Legal and CS to be based out of the NCR region. Job Description Reporting into the Regional Head of Legal and India MD, you and your team would be responsible for:
Making sure that the company complies with relevant laws, regulations, and industry standards.
Identifying legal risks and potential liabilities and developing strategies to mitigate them. Working with various departments to implement risk management protocols and best practices.
Overseeing the policies and administration in protecting the company's intellectual property rights, including trademarks, copyrights, and patents. Handling intellectual property registration and enforcement.
Managing and resolving legal disputes and litigation involving the company. Collaborating with internal and/or external legal counsel when necessary.
Conducting internal training sessions to educate employees on legal and compliance issues and foster a culture of legal awareness within the organization.
Reviewing, drafting, and negotiating contracts, agreements, and other legal documents, including vendor contracts, client agreements, and employee contracts
Managing corporate governance matters, such as ensuring compliance with corporate laws, preparing board meeting minutes, and overseeing corporate filings and registrations.
Acting as the company's company secretary, responsible for maintaining corporate records, arranging board meetings, and ensuring compliance with corporate governance requirements.
Ensuring timely and accurate submissions of required regulatory filings and disclosures to government authorities and regulatory bodies.
Developing and implementing the company's code of conduct and ethics policies to promote ethical behavior throughout the organization.
Assisting with legal due diligence and documentation for mergers, acquisitions, and other corporate transactions, if any.

The Successful Applicant Ideally you are a law graduate and a qualified CS with around 18+ years of experience in both legal and compliance roles, with demonstrated corporate law and governance expertise, with Strong communication, influencing and negotiation skills. You should also possess Problem-solving and critical thinking abilities to address complex legal issues and a high level of EQ and detailed analysis of legal and compliance issues. You should have demonstrated excellent level of leadership in your last role and should be ready to take on another leadership assignment.
