Role Description This is a full-time on-site role for an Assistant Manager - Company Secretary. The role involves assisting in managing the company’s legal compliance and secretarial functions. Additionally, the Assistant Manager – Company Secretary will be required to assist the legal and compliance team on specific assignments and work with cross-functional teams for adherence to compliance practices.

Qualifications Expertise in corporate law and the Companies Act Strong knowledge and experience in secretarial compliances and reporting Excellent communication, interpersonal and analytical skills Ability to take initiative and work under minimal supervision Strong project management and coordination skills Attention to detail and ability to maintain confidentiality Company Secretary or

Bachelor's degree in Law Experience working in a corporate environment is preferred

Responsibilities Prepare and comply with notices, attendance, and convening and servicing of board meetings, annual general meetings, and extraordinary general meetings (producing agendas, taking minutes, preparing board resolutions, conveying decisions, etc.) Maintaining a list of shareholders and directors and managing all tasks relating to securities and their transfer and transmission Working on annual returns and other declarations, attestations, and certifications under the companies act. Handling maintenance of statutory registers and managing the secretarial/compliance audit. Handling RBI matters - share capital, FDI reporting, advanced reporting form, FC-GPR, KYC, etc., and also annual filing of FLA returns with RBI. Filing all relevant documents and keeping the information of the company and the directors up to date with RoC, MCA, RBI, and other relevant statutory bodies within the statutorily prescribed timelines Managing compliance with any other relevant documentation and filings for a private limited company as per statutory requirements in India.

Experience in project management, team leadership, and corporate secretarial work in a listed company would be an advantage. The successful candidate will also need to have a keen interest in staying up-to-date with the latest legal and compliance developments and trends.
