Role Description
This is a full-time on-site role at our Bengaluru location for a Company Secretary. The Company Secretary will be responsible for ensuring the company complies with regulatory and legal requirements, maintaining our statutory registers, organizing and preparing agendas and papers for board meetings, taking minutes and handling day-to-day administrative duties.
Qualifications
Legal and Compliance
- Knowledge of corporate laws and regulations
- Experience in ensuring compliance with statutory and legal requirements of an NBFC
- Ability to keep abreast of regulatory changes and their impact on the business
- Drafting various resolutions accordance with the provisions of the Companies Act, and rules thereunder,
- File various statutory forms & returns with Ministry of Corporate Affairs,
- Maintain and record Statutory Registers as required under the Companies Act & Rules
- ROC filling and other filling with authorities, RBI compliance.
- RBI returns and Fema compliance
Board Administration and Management
- Experience in organizing and preparing agendas and papers for board meetings.
- Manage paper work related to Board Meetings, General Meetings, Audit Committee Meeting, etc.,
- Prepare various draft agenda notes for the Board / Committees of Directors, Directors Report considering company law aspect,
- Excellent interpersonal and communication skills
Administrative Support
- Ability to handle day-to-day administrative duties
- Knowledge of office software suites like MS Office
Additional Qualifications
- Bachelor's degree in Law or equivalent
- Company Secretarial Certification is mandatory
- Prior experience in a similar role in a financial services company is preferred
