Responsibilities:

Contracts / Agreements

: Drafting, vetting and negotiating various Agreements like In/Out License Agreement, Master Service Agreement (Clinical Trial / Non Clinical Trial), Manufacturing and Supply Agreement, Service Agreement, Marketing Agreement such as Advisory Agreement, Sponsorship Agreement, Camp Agreement, Confidential Disclosure Agreement, Consultancy Agreement, Leave and License Agreement, Lease Deed, Loan License, Third Party Agreement, Distribution Agreement, Liasioning Agreement, Registered User Agreement, Consultant Agreement, Retainer Agreement, Agreements related to Health Care Organization, etc.

Intellectual Property Rights

: Conducting search in Trade Marks Registry and Trade Journals for adoption of new trade mark / Division name and also conducting search in foreign countries for adoption of trade mark; Handled all Trademarks matters from Application to prosecution, Registration of Trademarks, Oppositions, Drafting Notice of Opposition, Counter Statement, Affidavit U/r 45, U/r 46 & U/r 47, etc., Cease and Desist Notices; Coordinating and follow-up with foreign attorneys for trade mark registration and giving inputs in drafting response to examination reports; To initiate and defend infringements and passing off of Trade Marks. Filing suit for infringement and passing off of Trade Marks. Conducting raids on counterfeit products. Appearing in Trade Marks Registry for Show Cause Hearing and Opposition hearing, Appeared before Regional Director of Ministry of Corporate Affairs for Rectification of Companies Name which are similar / identical to our company name;

Litigation

: Management of various litigations such as Civil Suits, Writ Petition, 138 matters, Proceedings before Insolvency and Bankruptcy Code, Labour Matter, Electricity Matter, Winding up Petition, Summary Suits, Criminal Complaints, Vetting and providing inputs in Plaints, Written Statement, Rejoinders, Affidavits, etc and to make sure that the documents are filed in timely bound manner; Briefing counsels, solicitors and advocates in litigation matters and planning out strategy before taking any action. Assess the Risk factor and accordingly inform Management; Coordinating with the internal department for collating documents required for litigation. Follow up with attorneys and solicitors. Maintain MIS for board and management presentation on pending Litigations on M/Q/H/Y. Issue and reply to various legal notices. Ensure timely reply to all statutory notices NPPA, FDA, FSSAI, and Consumer Complaints, etc., and track the same till the closure.

Support USV Consumer Business and Marketing Teams

; Review of Marketing Service Agreement. Drafting and Negotiating Endorsement Agreement, Approving advertisement script, promotional material.

OTHERS

: Contract Management. Giving Orientation of the Legal Department for new joinee in the Marketing Team. Due Diligence for Property Purchase, Reviewing Sale of Agreement and Sale Deed; Periodically conduct legal compliance audit of Manufacturing Plant, CnF Agent and Marketing Agent; Supporting Clinical Department, Manufacturing Plant and CnF Agent in submission of the various documents with Regulatory Authorities. Liasioning with Police officers for expediting the service of summon and warrant or taking statements of prime person; Supporting HR department in Labour matters, drafting POA, Loan recovery, etc;
