Job Description:

A Company Secretary (CS) is a senior executive responsible for ensuring that a company complies with statutory and regulatory requirements and that decisions of the board of directors are implemented. The role of a Company Secretary can vary depending on the size and nature of the organization, but generally includes the following responsibilities:

  1. Corporate Governance: Ensure that the company complies with all relevant laws, regulations, and corporate governance practices. This includes keeping the board of directors informed about their legal responsibilities.
  2. Board Support and Communication: Organize and prepare agendas for board meetings, committee meetings, and annual general meetings. Ensure that board members have the necessary information to make informed decisions.
  3. Legal Compliance: Keep abreast of changes in laws and regulations affecting the company and ensure compliance. Advise the board on legal and regulatory matters.
  4. Record Keeping and Documentation: Maintain statutory books, including registers of members, directors, and secretaries. Ensure proper documentation of board decisions and resolutions.
  5. Filing of Returns: Submit required documents to regulatory authorities, such as annual returns and financial statements.
  6. Communication with Shareholders: Act as a point of communication between the company and its shareholders. Handle inquiries and concerns from shareholders.
  7. Company Meetings: Organize and manage shareholder and board meetings, including preparing notices, agendas, and minutes.
  8. Risk Management: Assist in the identification and management of legal and corporate risks. Implement policies and procedures to mitigate risks.
  9. Corporate Social Responsibility (CSR): Oversee CSR initiatives and ensure the company's compliance with CSR requirements.
