About the role :
We are seeking qualified, experienced candidates based in India for a Commercial Counsel position with Infinite Computer Solutions (India) Limited. The role can be remote or out of one of our India offices (Bengaluru, Chennai, Gurugram, Hyderabad, or Visakhapatnam).
This is a unique role in a small legal department that offers an opportunity to work with all areas of the business. The role will provide exposure to a variety of areas depending on candidate interest and development goals but will have primary responsibility of drafting and negotiating complex technology contracts.
The position reports to the Director, Legal based in Delhi, India. This individual will be expected to bring contract proficiency to the position and rely on that capability along with sound judgment and professionalism to hit the ground running. All work will require a 'business' as well as a 'legal' approach, requiring responsibilities and competencies in software, negotiation, and validation of terms against commercial and industry norms.
Your Responsibilities :
- Writing, evaluating, negotiating, and executing various contracts covering a range of transactions, including non-disclosure, consulting, service, licensing, SaaS, general commercial terms and conditions, SOWs, and various commercial documents for business units in many areas
- Work with the Legal and Contracts team and company business units to develop contract strategies
- Ensure consistency of contract terms with company policies and goals
- Reduce company's contract risk
- Create, maintain, and updated contract templates
- Problem-solving contract-related issues
- Utilize best practices to enhance contracts review processes
- Offer alternative courses of action to advance company and client interests
- Conduct legal research and provide summaries and analysis on relevant laws, regulations, and industry trends to ensure compliance and informed decision-making.
- Work closely with cross-functional teams to ensure compliance with applicable laws and regulations. Assist in the development and implementation of compliance programs.
- Provide independent advice and counsel to internal business partners
- Other projects and tasks as assigned.
Qualifications :
- LLB or LLM from an accredited university
- 3+ years of experience d rafting, negotiating, and managing contracts and commercial transactions at an in-house legal department or in a law firm
- Experience negotiating commercial contracts and other experience demonstrating ability to handle and close commercial and legal negotiations
- Ability to quickly understand business objective of an agreement, to identify and communicate legal issues and solutions clearly and concisely and facilitate a risk/benefit analysis
- Excellent English verbal and written communication skills
- Working knowledge of Office 365 applications (Outlook, Word, Excel, SharePoint, and PowerPoint), Adobe Sign, and other e-sign applications
- Solutions oriented, acts with urgency, and client focused
- Detail-oriented and resourceful with excellent follow-through skills
- Willing to perform necessary tasks with limited support in a small legal department
Preferred Skills :
- Prior work with a technology or SaaS company with substantive experience drafting and negotiating contracts preferred.
- Ability to work well under pressure, prioritize and manage workload, manage simultaneous tasks and meet deadlines within a changing, fast-paced environment.
- Ability to work independently and, if remotely, with high quality internet connection.
- Most clients are based in North America, so an ability to accommodate customary U.S. work hours.
