Job description

This position is responsible for:

1. Board Meetings (BM) Organizing board meetings ensuring the compliance of the Companies Act

and the Secretarial Standards.

2. General Meetings Organizing General meetings (EGM/AGM) ensuring the compliance of the

Companies Act and the Secretarial Standards.

3. Statutory Returns Signing and filing information with the Registrar of Companies to report certain

changes regarding the Company or to comply with requirements for periodic filing

4. Corporate Governance Continually reviewing developments in corporate governance and

advising and assisting the directors with respect to their duties and responsibilities compliance with

company law.

5. Report & Accounts Share required information to Shareholders

6. Memorandum & Articles of Association Ensuring that the Company complies with its

Memorandum and Articles of Association and drafting and incorporating amendments in

accordance with correct procedures as per statute and of the Group policy in case of any

amendment to the Act or Group Policy

7. Share Registration Maintaining and updating the company s register of members; dealing with

transfers and other matters affecting shareholdings; dealing with queries and requests from

shareholders

8. General Compliance Compliance with relevant regulatory and legal requirements under the

Companies Act the rules made there under and other laws applicable to the Company including

compliance under FEMA industrial & labour laws legal requirements on retention of documents;

retaining the minimum set of records required for commercial reasons; ensuring that procedures are

in place to allow adequate historical archive to be maintained

9. CSR Activities Manage the CSR activities of the legal entity by ensuring all the necessary meetings

and documentation are mainted

10. Finance related work and statutory related work mainly with respect to CSR & other Group

related filings

1. Membership of the Institute of Company Secretaries of India with a University degree in

Accounting Commerce or Business Management/Administration.

2. Post Qualification experience of around 57 years

3. LLB would be added advantage
