About Our Client Our client is a reputed global speciality chemical manufacturing MNC, with strong presence in Indian subcontinent. Job Description As Head of Legal, you will report to Global General Counsel, Legal & Compliance Head. Your key responsibilities would be as follows -
Contracts: Drafting, reviewing, and advising internal stakeholders on negotiating with external stakeholders, on a variety of commercial contracts, including third party agreements, operations agreements, services agreements, purchase agreements. Resolving contractual issues that arise in existing commercial relationships.
Statutory Compliance: Identifying and consulting on legal risks in connection with products, route to market etc. Interpret and monitor changes to regulatory guidelines and applicable law and advising internal stakeholders.
Corporate Governance: Corporate housekeeping and advising on competition law. Ensure compliance with corporate governance principles, including support in board related matters
Corporate Transactions: Providing legal expertise during mergers and acquisitions and other corporate transactions.
Ethics and Compliance and Privacy: Liaising with specialist outside counsel on areas relating to compliance, privacy or security. Developing employee communication and imparting training for compliance program.
Disputes: Handling pre-litigation and legal disputes. Work with specialist outside counsel on litigation matters.
Legal Operations: Developing and implementing processes for efficient operations, including playbook for contract negotiation. Developing and maintaining standard form contract templates. Supporting implementing a Contract Lifecycle Management System and other legal databases
Government Relations: Maintain and strengthen relationships with regulatory bodies and government agencies that regulate the company's manufacturing sites and business.
The Successful Applicant As the ideal candidate, you should
Be a qualified lawyer with 20+ years PQE - preferably a blend of law firm and senior leadership position as an in-house counsel within the manufacturing/chemical/pharmaceutical industry
Good practical experience of M&A transactions / post merger integrations
Excellent verbal and written communication skills
Speak-up culture, persuasive negotiator with the ability to influence internal and external stakeholders.
